·         Advise and counsel C-Level executives and the Board (Nuremberg, Germany) on all legal functions in the United States including but not limited to commercial contracting, litigation, intellectual property, and employment matters.

·         Responsible for negotiating large, complex, technology agreements supporting both sales and internal business partners (Product, Marketing, Finance, HR, Procurement, and IT).

·         Agreements include licensing, reseller, professional services, cloud computing (SaaS, IaaS, PaaS, XaaS), open source (permissive and copyleft), hardware (on prem), nondisclosure, data privacy, and business associate agreements.

·         Oversee company’s compliance function in the United States (data privacy, cybersecurity and regulatory) to balance appropriate controls with operational needs.

·         Regularly review and update employee handbook, offer letters, non-compete documents, policies and procedures, and legal and compliance policies and practices.

·         Advised and counseled procurement teams and leaders on complex commercial contract issues including planning, structuring, drafting, negotiating, and executing agreements within established risk mitigation strategies.

·         Negotiated large enterprise IT (hardware, software, and professional services) and telecom agreements (data, wireless, wireline) across blue chip supplier base (Oracle, Microsoft, Verizon, AT&T, Sprint, RedHat, VMWare).

Advised and counseled procurement teams and technology leaders on complex licensing and outsourcing agreements (infrastructure and application development) including planning, structuring, drafting, and negotiating master agreements and statements of work within established risk mitigation guidelines.
