• drafting, reviewing, analyzing, and negotiating complex data, SaaS licenses, distribution agreements, and other outbound commercial contracts related to Clients’ products/services;
• consulting Startups on business strategies & transactions & IP protection & Tax;
• advising on information security, privacy, and related issues, including GDPR;
• determining ways to improve process and procedures in the Clients’ legal departments;

• drafting entity formation documents; incorporating companies in the US;
• organizing board meetings & attending corporate meetings; preparing agendas, drafting proxies, minutes of meetings;
• drafting NDA’s (confidentiality agreements);
• working with Salesforce.com CRM system to track clients’ activities;

• assisting attorneys on a Fund/ StartUp creation; including business models and transactions & taxes;
• working on corporate governance for newly created businesses;
• assisting attorneys in preparation of documentation for amendments, withdrawals, mergers, and dissolutions of corporations and partnerships;
• participating in due diligence review;
• communicating with clients and other participants involved in the transaction to coordinate document review;
• managing clients’ corporate housekeeping (hard copy/digital filing of all legal documents);
• performing legal research on various matters;
• managing billing process
