Job Summary:
The Team Lead for Corporate Affairs has a primary focus on Best Practices associated with corporate governance and structure. Optimize corporate entity filing processes for consistency, contributing to overall organizational efficiency and effectiveness. Project plan development, communication effectiveness, attention to the smallest detail, elevated customer service, and stakeholder management are critical competency areas for this role. Successful candidates will be effective at managing multiple initiatives at once, very detail-oriented, organized, like to be busy and productive, learn quickly, and have a track record of being adaptable in a fluid, high-growth environment.
Responsibilities:
The following description is not meant to be all-inclusive and may be modified from time to time at the discretion of leadership:Train, coach, and guide Corporate Affairs team members and ensure that daily operations are performed effectively and efficiently.Allocate team responsibilities, organize team schedules, and communicate expectations to ensure daily operations meet business needs.Oversee preparation of pre-closing or post-closing documentation in connection with both significant corporate transactions and day-to-day operations.Oversee corporate transactional work and responsibilities (including paperwork from mergers and acquisitions, joint ventures, financing and strategic investments).Oversee drafting of corporate documents (including, assumed name filings and qualifications) to allow the organization to work in multiple jurisdictions in full compliance.Assume a high level of responsibility for monitoring the auditing, organizing, proofreading, filing and distributing documents related to corporate activity.Oversee performance of corporate subsidiary maintenance duties associated with maintaining regulatory registrations, qualifications, and reports.Oversee coordination of responses to and inquiries from company stakeholders throughout all areas of the business (operations, treasury, marketing, capital markets, technology, legal, etc.) regarding entity structure and operating names while ensuring timely services.Incorporate a strong understanding of business operations and processes key to the legal and regulatory issues impacting the company’s areas of focus.

Education/Experience:
Bachelor’s degree or the recognized equivalent in education and experience is required (Paralegal certification or education is highly desired)At least four years of professional legal assistant/corporate paralegal (or equivalent) matters in a large entity is preferred (multinational preferred, but not required). In lieu of legal experience, four years of project management or customer service experience within a corporate environment will be considered. Supervisory experience is required for individuals without legal experience.Familiarity with corporate governance: formation documentation, corporate resolutions/consents, general corporate housekeeping, data base entry, and knowledge of organizational structures is requiredExperience in the financial technology or insurance industries or a law firm/in-house corporate legal department with comparable exposure is highly desiredExperience working with multiple stakeholders from different organizations, departments, and cultures
