The Role
Block is seeking an attorney to help manage corporate governance matters. If hired, you will support Block, Inc. and subsidiary governance, including coordinating and preparing for board meetings and approvals and managing governance requirements for our regulatory licenses. You will report into Block’s Governance Lead and it is a great opportunity to join the Block legal team and work on a variety of cutting-edge legal issues. You Will
Assist with corporate governance matters, including the preparation of board materials and policies, with an emphasis on U.S. public company governance mattersSupport Block, Inc. (parent company) and subsidiary governance, including board meetings (for US and international subsidiaries), state filings, resolutions and consentsWork with Block’s People and Equity teams on Block’s equity plans and ESPPLiaise and coordinate with product counsel and regulatory counsel to ensure compliance with governance requirements under our regulatory licensesAssist with shareholder engagement, including Q&A preparationAssist with ESG-related matters, including the CSR Report and non-U.S. reportingWork with our internal business, regulatory, tax, accounting and compliance teams, as well as with external advisors and expertsAssist with D&O questionnaires, related party transactions and conflicts of interest matters for directors and officersConduct legal research on a variety of complex corporate governance issuesAssist with special corporate projects, including capital markets transactions and M&AWork collaboratively to prioritize business objectives and support the corporate aspects of being a public companyManage projects, with a team-oriented approach
You Have
7+ years of relevant corporate experience at a major law firm and/or in-house experience, with experience working for a large public company being a plus.A combination of both in-house and law firm practice experience is preferredFamiliarity with NYSE/SEC corporate governance requirementsExcellent research and writing skills and project management abilityAbility to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous mattersJ.D. degreeMembership in at least one state barThe ability to effectively collaborate with large, cross functional teamsThe ability to manage projects effectively, with a team-oriented approach

The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future.
