Manager, Corporate Counsel - M&A and Strategic Investments
Posted Nov 08 Full TimeOn SiteSanta Clara, California NVIDIA seeks Manager Corporate Counsel, M&A and Strategic Investments, to join the Company's Legal Department supporting NVIDIA’s acquisitions and strategic investment activities The successful candidate will have extensive experience assisting with venture capital financings and M&A transactions, as well as strong experience dealing with regulatory issues (antitrust, foreign direct investment, etc.). This role also requires experience working with senior management and ability to work well with and relate to company personnel at all levels.
What you’ll be doing:
- Evaluate, structure, negotiate, draft and provide advice on venture investments and merger and acquisitions and venture investments (ranging from SAFEs, investments in debt/equity securities and private investment in public companies)
- Review and draft NDAs, deal structures, term sheets, LOIs, due diligence, and other legal documents
- Partner to lead cross-functional teams to complete transactions
- Assist in legal due diligence across cross-functional legal areas such as corporate, commercial, IP, export control by using internal legal specialists
- Assist in negotiations and drafting of commercial and collaboration agreements in connection with strategic investments and partnerships
- Participate in the development of strategies to enhance the deal process and execution
What we need to see:
- Current member in good standing of the California State Bar
- Law degree from top law school with excellent academic credentials
- 10+ overall years of law firm and/or in-house experience. Mix of law firm and in-house experience a plus, including 4+ years of leadership experience
- Significant experience running complex and strategic M&A, venture capital and other financing transactions
- Practical and academic knowledge within venture investments and M&A transactions; proactive approach to recognizing needs, anticipating issues, and solving problems
- Experience working with senior management and ability to work well with and relate to company personnel at all levels.
- Excellent legal and business judgment and attention to detail
- Ability to think creatively, function independently and work proactively in a fast-paced environment

The base salary range is 196,000 USD - 356,500 USD. Your base salary will be determined based on your location, experience, and the pay of employees in similar positions.
