Job Family Summary Purpose

At the direction of the VP – General Counsel and Deputy General Counsel, works independently in performing legal tasks that are broad in scope. Reviews, drafts, and negotiates various contracts affecting the Company and advises departments concerned. Learns the legal requirements that govern a regulated electric utility and provides counsel to the Company regarding those requirements. May provide guidance to less experienced attorneys and may coordinate work of retained counsel. Collaborates with attorneys, staff, and other Company employees on work. Anticipates and guards against legal risks involving the Company.

EDUCATION

Juris Doctorate degree from an accredited law school.

Member in good standing of either the Texas Bar or New Mexico Bar and may be required to become licensed to practice law in both states.

_ Minimum Knowledge, Skills & Abilities

  • Legal experience in private firm, governmental agency, or corporate (in-house), with a minimum of three (3) years of practice.
  • Demonstrable expertise in reviewing, drafting, negotiating, and providing legal and business advice to Company management and personnel concerning (a) equipment purchase and lease agreements, (b) software license, implementation, maintenance and support agreements, (c) construction, maintenance, and repair agreements for improvements to real property, (d) professional and non-professional service agreements, (e) insurance agreements, or (f) various other transactional matters.
  • Demonstrable expertise in one or more of the following areas of law: energy or utility regulation, employment and labor law, environmental, bankruptcy, transactions, real estate, or litigation.
  • Ability to analyze detailed information and draw valid conclusions based on the analysis.
  • Ability to work on multiple tasks, meet deadlines and work under pressure.
  • Effective verbal and written communication skills.
  • Ability to maintain effective working relationships with officers, managers, fellow employees, and the general public.
  • Ability to maintain a strong sense of propriety concerning confidential matters.

  • Prepares, reviews, and analyzes contracts and other legal documents.
  • Prepares interrogatories, depositions, pleadings, briefs and requested findings and conclusions in matters concerning litigation or administrative hearings involving the Company.
  • Investigates matters concerning litigation or hearings involving the Company.
  • Represents the Company in litigation or administrative hearings.
  • Leads negotiation of complex transactions.
  • Acts as counselor on business matters for the Company, including its officers, managers, and supervisors.
  • Reviews and analyzes proposed and existing legislation, rules, regulations, and matters affecting the Company.
  • Performs legal research for the Company or retained counsel.
  • Renders legal assistance, counsel, or opinions concerning complex matters.
  • Evaluates whether tasks in areas of responsibility require the assistance of retained counsel and retains pre-approved counsel directly, informing General Counsel/Deputy General Counsel of retention.
  • Tracks work with retained counsel and follows through with status of work; reports to General Counsel/Deputy General Counsel on the pendency of retained counsel’s tasks.
  • Delegates staff responsibilities to paralegal and clerical staff and performs various administrative functions as assigned.
  • Assists enforcement of and compliance with all applicable Company policies, procedures and code of ethics as well as all applicable governmental laws and regulations to include employment, safety and environmental standards and regulations.

WORK ENVIRONMENT

  • Primary work environment is typically of an office or administrative nature.
  • May work non-standard hours.
  • May require travel to Company work sites, including power plants.
  • May require out of town travel.
