The Senior Counsel will lead extremely complex sales contract negotiations for both our Private and Public Sector businesses, closing deals with the largest financial institutions in the world, Fintechs, gaming platforms, social media companies, gig economy apps, payroll processors, credit card issuers, the Federal Government, State agencies, and much more. The Senior Counsel will also lead negotiations with vendors providing tools and data that help us develop the most innovative, inclusive, and effective products available. The Senior Counsel will regularly work directly with the C-Suite; will be a critical partner to our Sales, Finance, Product, and Development teams; and will mentor other attorneys.
The Senior Counsel will play a central role in solidifying and accelerating our young, and blazing-hot, Public Sector business. They will be an essential part of the team responding to SLED and Federal RFXs, advise Public Sector leadership on channel relationships and go-to-market strategies, and manage some government contractor compliance matters.
The position requires an experienced legal professional with a strong background in SaaS contracting and either SLED or Federal business. Someone with outstanding communication, critical thinking, and collaboration skills who thrives in a fast-paced environment; can effectively manage risk and compliance under pressure; and has the drive to take ownership (literally and figuratively- we are all owners here) of big challenges.
The Senior Counsel will report to our Associate General Counsel, Head of Commercial Legal. Socure’s Legal team is part of the Financial Operations Center of Excellence organization.
Job Summary:
Advise on a broad range of commercial matters and support our sales teams on deal structure and contract negotiations.
Review, draft, negotiate, and interpret a wide range of technology and commercial contracts including SaaS sales agreements (such as master service agreements, statements of work, and order forms); agreements with various channel partners (such as distributors, resellers, and integrators); NDAs; proofs of value; and complex vendor and data licensing contracts.
Serve as a central member of the Public Sector RFX team. Lead response to legal requirements in RFXs, implement processes to protect company confidential information, and support subject matter experts responding to non-legal requirements. Advise Sales leadership on teaming strategies, pricing approach, and RFX compliance. Ensure Socure rights and interests are preserved and advanced during the procurement process. For Federal RFXs, advise on FAR implications and mitigate associated risks.
Identify risks and offer creative risk mitigation solutions. Escalate risks and mitigation strategies to C-Suite in a clear and concise manner.
Use and build upon your knowledge of legal issues relating to IP, Licensing, Data Use, Privacy, Regulatory compliance.
Become an expert on Socure's products and business models, help us bring new offerings to market.
Prepare, maintain and improve template agreements, playbooks, and operational guidance.
Provide guidance and mentorship to more junior team members.
Manage outside counsel, if needed
Qualifications:
JD from an accredited law school and active Bar membership.
7+ years of post JD experience negotiating sales-side SaaS agreements.
2+ years at a government contractor supporting sales to SLED and/or Federal markets, including helping lead RFX responses and establishing channel relationships. Demonstrated ability to address the particular challenges of public sector contracting, such as FOI laws and government IP rights.
Outstanding communication and critical thinking skills. You will need to distill complex legal issues clearly and concisely for the C-Suite and other leaders.
Excellent organization and prioritization skills. You will need to juggle many important matters and communicate realistic timelines to stakeholders.
Self-awareness. This can be an intense place. You’ll need to be comfortable in your own skin to drive toward success while remaining kind, collaborative, and empathetic.
Understanding the commitment and hard work involved in working at a successful, fast growing start-up.
Experience collaborating across functions, such as with Sales, Finance, Product, and Development teams.

Preferred Qualifications:
Data licensing experience
Experience as counsel to financial institutions or Fintechs
Past work directly with the C-Suite
Knowledge of the FAR and experience applying the FAR to Federal RFXs and contract negotiations
Experience managing government contractor requirements, such as SAM registrations, COI avoidance, gifts and hospitality, and supply chain compliance.
Demonstrated ability to provide effective training to sales teams and other stakeholders on contracting strategies, public procurement, and compliance.
Salary Disclosure:
Base Salary range: $170,000 - $220,000
This represents the expected salary range for this job requisition. Final offers may vary from the amount listed based on factors including geography, candidate experience and expertise, and other job related factors. Socure's compensation and rewards package for full time roles includes a market competitive salary, equity, comprehensive benefits, and, for applicable roles, commissions plans or an annual discretionary performance bonus.
