Senior Corporate Counsel, Procurement

We are seeking a highly skilled and motivated Senior Corporate Counsel, Procurement, who will be responsible for providing legal support to the procurement department, assisting with vendor management, and ensuring that the company’s procurement activities are aligned with internal policies and legal regulations. The individual will negotiate and draft a wide variety of contracts related to vendor engagements, supply chain management, and service arrangements, while advising internal stakeholders on procurement-related legal issues.

Responsibilities:

  • Contract Drafting & Negotiation: Draft, review, and negotiate vendor agreements and related documents, including supplier contracts, service agreements, software licenses, technology agreements (both on-prem and SaaS), outsourcing agreements, hardware/equipment agreements, professional/consulting agreements, statements of work, purchase orders/quotes, service level agreements, and non-disclosure agreements.
  • Strategic Legal Advisor: Serve as a legal advisor to various stakeholders on legal issues surrounding supplier engagements and relationships, including outsourcing, technology and intellectual property, as well as data privacy and handling of sensitive information.
  • Policy & Contract Template Development: Contribute to the development and implementation of procurement policies and procedures, including vendor onboarding, ethical sourcing, and contract management processes. Assist with creating and updating various vendor template agreements, including terms and conditions on the company website.
  • Collaboration with Procurement Team: Partner with the procurement team to develop strategies that optimize vendor relationships while minimizing legal exposure. Assist the procurement team with RFIs, RFPs, and other competitive bid documents, as needed.
  • Risk Management: Identify, assess, and mitigate legal risks associated with procurement activities. Ensure contracts comply with relevant legal standards, including anti-corruption/anti-bribery, export controls, and privacy regulations.
  • Compliance: Ensure departmental compliance with company procurement policies, processes, and applicable laws. Provide counsel on compliance with applicable federal, state, and international regulations affecting procurement, in coordination with external counsel.
  • Dispute Resolution: Manage procurement-related disputes, including breach of contract issues, claims related to defective goods/services, and other vendor-related matters. Coordinate with external counsel as necessary.
  • Training: Provide training and updates to internal teams on legal issues, contract terms, and risk management strategies to ensure they are equipped to handle vendor relationships.
  • Cross-Functional Support: Work closely with various departments, including finance, operations, engineering, and IT teams, to support the company’s strategic procurement initiatives.
  • Management of External Counsel: Engage and manage external counsel, as necessary, to assist with the review and negotiation of certain vendor agreements.

Qualifications:

Experience:

  • 5-9 years of experience practicing law, with at least 3 years of experience with procurement, vendor contracts, or supply chain management.
  • Experience negotiating and drafting complex commercial contracts, including technology related contracts.
  • Familiarity with legal issues related to procurement and supply chain management.

Skills:

  • Strong negotiation and drafting skills.
  • Excellent communication skills, with the ability to explain complex legal concepts to non-legal stakeholders.
  • Strong problem-solving, analytical, and risk management skills.
  • Ability to manage multiple projects simultaneously and meet deadlines in a fast-paced environment.

Preferred Qualifications:

  • Experience working in a corporate legal department.
  • Experience working in a law firm.
  • Experience with international procurement and global vendor agreements.
  • Experience managing and directing external counsel.
  • Familiarity with data privacy, cybersecurity, intellectual property, and relevant industry standards.
  • Must be able to travel, as needed, up to 10%.

Education / Certifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to a state bar.
