Our Office of the General Counsel is seeking a Corporate Paralegal to join their growing team in our Worcester, MA location. This is a full time, non-exempt role. This is a hybrid opportunity.

POSITION OVERVIEW:

The Legal Operations – Corporate Paralegal is responsible for managing regulatory maintenance functions associated with corporate governance of The Hanover’s subsidiaries, including ensuring compliance with federal, state and insurance laws and regulations. This includes timely and accurate filings of Secretary of State Annual Reports and maintaining precise record keeping for all THG subsidiaries. In addition to the primary corporate functions, the Corporate Paralegal manages additional projects and assignments as needed by the OGC Director of Legal Operations and members of the Corporate Legal Group.

IN THIS ROLE, YOU WILL:

  • Independently draft, file and track annual Secretary of State filings for all THG subsidiaries
  • Manage, research and coordinate all THG officer/director information for filing with Secretaries of State and Departments of Insurance, including biographical affidavits, fingerprints and officer/director changes
  • Manage the preparation and scheduling for THG subsidiary Board meetings (quarterly), ensuring necessary quorums, drafting agendas and gathering materials from multiple business units
  • Draft, circulate and track subsidiary Board minutes, Investment Committee minutes, Shareholder and Director consents, org charts and other documents as needed
  • Manage THG Stock Trading black-out and pre-clearance functions including coordination with business units and HR to ensure data is accurate, and current
  • Maintain inventories of all minute books and seals for THG subsidiaries; file minutes and other documents to ensure all minute books are kept current
  • Liaise with auditors and business units to respond to request for documents within deadlines
  • Maintain internal and external databases with director/officer information and Secretary of State filings
  • Monitor and respond to all Corporate Secretary emails including, but not limited to, analyzing changes in regulations and managing filing deadlines for all THG subsidiaries
  • Provide information to business units as needed for regulatory exams, tax audits, SEC jurat filings and interrogatories, etc.
  • Litigation Operations team member: manages litigation mail including analyzing content, responding to inquiries, research as necessary, forwarding to appropriate unit, tracking and logging information
  • T360 matter management team member/report design lead: designs, reviews and tests various reports; trains team on new product offerings
  • Manages external legal fee process for two costs centers, including invoice review, submission and reconciliation; and accrual process
  • Manages administrative support for the Corporate Law attorneys
  • Supports the OGC Director of Legal Operations with various tasks including parent company Board of Director matters, coordinating OGC activities, and other projects as assigned
  • All other duties as assigned

WHAT YOU NEED TO APPLY:

  • Minimum of an Associate’s degree; Bachelor’s degree preferred
  • Typically has 7-10 years related experience
  • Extensive corporate law experience preferred
  • Flexibility and able to work in a team environment with other attorneys and coworkers
  • Excellent communication skills, written and verbal
  • Demonstrates a willingness to do whatever is asked and stretches to meet goals
  • Familiarity with insurance practice and laws preferred
  • Familiarity with the Internet and computer applications
  • Strong organizational skills / Ability to prioritize tasks
  • Must have an ability to maintain confidentiality
  • Possesses and applies a broad knowledge of principles, practices, and procedures of particular field of specialization to the completion of moderately difficult assignments.
  • Works well with others and establishes sound working relationships
  • Must be able to work with minimum supervision
  • Has latitude for un-reviewed action or decision
  • May be assigned to lead a particular project, driving the project to a successful completion and be held accountable for reporting on project status
  • Computer: Proficiency with all Microsoft 360 suite products
