Investment Banking Legal is looking for an experienced attorney to support the Investment Banking business unit within Goldman Sachs Global Banking & Markets in connection with financial advisory assignments, corporate repurchase programs and equity private placements. This attorney will assess and advise bankers on legal, policy, reputational and commercial issues, review and negotiate transaction documentation, and resolve legal and policy issues and procedural questions that arise during the course of a negotiation or transaction.

Responsibilities

  • Advise bankers on legal, policy, reputational and commercial issues on specific Investment Banking matters (e.g., conflicts, business practices, non-standard opinions, regulatory issues, conducting business in new markets around the globe)
  • Assist in reviewing and negotiating the terms of financial advisory engagement letters relating to strategic transactions as well as other agreements and letters entered into by the Firm with Investment Banking clients.
  • Advise bankers and the corporate repurchase desk in the Equities business unit on 10b5-1 plans and other corporate repurchase programs; draft and negotiate repurchase plans and documents with corporate clients.
  • Advise bankers on the execution of private placements and continuation fund transactions generally, assist in reviewing and negotiating the terms of placement agency documentation, and work with and manage external counsel.
  • Advise on, develop, and implement new policies, standard procedures, form documentation and best practices in response to changes in law and regulation as well as business practices and objectives.
  • Train bankers, formally and informally, on new developments, best practices, and legal and compliance matters.
  • Coordinate and collaborate with a diverse set of stakeholders to identify and help mitigate legal and reputational risks, including through conflicts disclosures and waivers.

Qualifications

  • 4+ years’ post qualification corporate law experience at a leading law firm, financial institution, or other company.
  • J.D. required; Active member of one State Bar in good standing.
  • Must demonstrate a strong grounding in corporate practice and experience in contract negotiation.
  • Excellent oral and written communications skills, in particular the ability to communicate complex concepts clearly and persuasively.
  • Commercial judgment, strong analytical skills, and the ability to make decisions with confidence.
  • High attention to detail with strong organizational skills and the ability to manage several simultaneous matters under deadlines.
  • Team player with ability to respond and be flexible to client demands while adhering to firm policies and group practices.
  • Ability to engage proactively as a trusted advisor to the business and collaboratively work with other control areas.
  • Self-starter, strong work ethic and personal accountability.

Salary Range

The expected base salary for this New York, New York, United States-based position is $170000-$270000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
