Location : Virtual, but Dallas, Texas area is ideal because presence in the Dallas area office may be required from time-to-time. Accordingly, other locations in Texas, such as Austin or Houston, preferred. Some travel also may be required.

Overview

Blue Yonder is seeking a Senior Corporate Counsel to support an affiliate*. You will work with various teams across Blue Yonder’s businesses to provide guidance on, among other things, export/trade laws and regulations, including adherence to the Export Administration Regulations (EAR), Office of Foreign Assets Control (OFAC) regulations and programs, various economic and trade sanctions programs, and other applicable export laws and regulations. Additionally, as a senior lawyer assigned to a Blue Yonder affiliate*, you will be responsible for coordinating with members of the Blue Yonder Legal team to address legal issues that are raised within that business unit such as contracts, employment law matters, and affiliate governance. You may also be responsible for directly handling other legal and compliance matters including, but not limited to, Ethics & Compliance internal investigations, policies, and reporting to the affiliate’s board of directors on compliance matters.

  • In connection with the pending closing of an acquisition.

What You’ll Do

 

  • Provide leadership on global export/trade compliance that supports business objectives and satisfies international legal requirements, including for government customers.
  • Develop and implement policies, procedures, and processes to ensure integration of necessary export/trade compliance elements into business functions’ work streams, including with respect to screening and monitoring.
  • Liaise with Blue Yonder business functions to support compliance with local, regional, and global export/trade regulations.
  • Provide advice and guidance on the application of export/trade regulations and economic sanctions to business operations.
  • Manage economic sanctions program operations including denied and restricted party screening activities and related third-party due diligence.
  • Support internal or external assessments and audit commitments, including responsibilities for process enhancements and corrective actions.
  • Develop and ensure adequate delivery of training regarding export/trade controls and economic sanctions to business functions and stakeholders.
  • Manage outside counsel and other legal service providers, as needed.
  • Conduct or support internal compliance (EthicsLine) investigations, draft reports, and/or manage cases, as needed.
  • Develop and/or support the delivery of broader Ethics & Compliance program material.
  • Keep abreast of changes to the legal and regulatory environment.

What We Are Looking For

 

  • Degree from an accredited law school and admission to practice law in the applicable jurisdiction.
  • Ideal candidate will have at least 5-10+ years of experience working in export/trade controls and economic sanctions compliance, with a strong preference for such experience in the software or SaaS industry and experience with government contracting requirements (FAR/DFAR).
  • Expertise in US trade regulations (ITAR, EAR, OFAC, etc.), including familiarity with CUI/CMMC, as well as a strong understanding of APAC and EU regulations.
  • Demonstrated ability to develop and implement export/trade compliance policies, procedures, and processes.
  • Demonstrated ability to develop and deliver trade compliance training and briefings to internal stakeholders.
  • Experience in common compliance practice areas for global companies, encompassing ethics, anti-corruption, antitrust, conflicts of interest, data privacy, and corporate investigations.
  • Experience conducting internal investigations and writing related reports.
  • Excellent analytical, problem-solving, and communication (both verbal and written) skills.
  • Impeccable judgment and integrity.
  • Self-motivated with the ability to work independently or as a part of a team and make impactful decisions.
  • Flexible and able to balance multiple priorities at once and ability to quickly adjust priorities to meet business needs.
  • Must qualify as a “US Person” as defined in the ITAR and EAR.
  • Ability to travel domestically and internationally, as needed.

The base salary range for this position is $150,311 to $190,000.00 plus an 18% annual bonus.

The salary range information provided, reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors. In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
