We are currently seeking a business-orientated and tech-savvy Senior Legal Counsel specializing in US Federal, State, Local Government and Education (SLED) contracting to join our in-house legal team. Additionally, there are opportunities to work on general commercial technology contracts in both the U.S. and Canada.

What The Role Offers

  • Ability to lead negotiation and drafting efforts on a wide range of commercial technology agreements and partner agreements including cloud services agreements, software licenses, and professional services.
  • Act as trusted legal advisor and business partner supporting a growing and dynamic business, and working with cross-functional groups, and handling escalations.
  • Direct education and communication on government contracts with internal clients and lawyers who may not be experts in public sector matters.
  • Perform analysis and provide guidance on company transactions as well as go-to-market products, evaluate risk, update templates, create and deliver training, and manage projects of benefit to the Legal team and department.
  • Collaborate with colleagues and clients regarding new and developing laws and regulations related to government contracting and procurement requirements relating to the sale of our products to government customers.

What You Need To Succeed

  • Law degree from an accredited law school and active, good standing membership in at least one U.S. State bar
  • 10+ years previous experience in public sector contracting, providing legal expertise in working with U.S. Federal and SLED end-user customers and system integrators.
  • Broad experience in commercial contracting (sell- side) in the context of SaaS and enterprise software licensing transactions - cloud-based product agreements, professional services contracts, etc.
  • Experience doing business with regulated industries and understanding or interest in data privacy/data security a plus.
  • Ability to advise management on risks across the business and strategies for mitigation.
  • Strong organizational and communication skills, time management skills, attention to detail and sense of urgency.
  • Ability to think creatively, take ownership of tasks and adapt to changing business requirements.

Work Arrangement: This position is a virtual work set up.

Salary Statement

This job is expected to pay in the range of $175,000 to $215,000 base salary as well as a bonus based on company performance metrics. OpenText also offers comprehensive and competitive group benefits and healthcare plans. Individual compensation will be determined based on skills and experience comparable to the job requirements.
