About This Role

Wells Fargo is seeking an Assistant General Counsel - Vice President for the Legal Entity Governance Team (LEGT) within the Corporate Governance Section, Public, Regulatory and Corporate Affairs Division of the Legal Department. In this role, you will focus on providing advice and counsel regarding corporate secretarial and governance for the legal entities of Wells Fargo & Company, including ensuring that a consistent approach is applied to all U.S. subsidiaries in alignment with the risk and control framework. You also will play a key role in the creation/acquisition, merger, maintenance and dissolution of U.S. legal entities and in the execution of certain U.S. transactions/reorganizations.

In This Role, You Will

  • Work on matters for the subsidiaries of Wells Fargo & Company, including support for all aspects of legal entity corporate governance, planning and preparing for board and committee meetings, overseeing board evaluations for subsidiaries, updating board guidelines, confirming subsidiary director and officer eligibility, signing authority and related diligence, assisting in the preparation of board materials, resolutions and minutes and entity record management
  • Act as a trusted legal advisor to U.S. management who serve as subsidiary board members on a broad range of subsidiary governance matters
  • Maintain and oversee U.S. standards, protocols and precedents for board governance
  • Serve as Corporate Secretary or Assistant Secretary for designated U.S. subsidiaries
  • Assist in the creation/acquisition, merger, dissolution and reorganization of U.S. subsidiaries
  • Align with non-U.S. subsidiary governance teams to support the consistency of governance practices across the enterprise
  • Assist the Head of the LEGT with the development, implementation and maintenance of corporate policies, governance processes and procedures and related risk & control controls and procedure
  • Identify and analyze complex legal issues and make recommendations for issue resolution
  • Develop and lead implementation of strategic business initiatives to meet deliverables and drive new initiatives
  • Provide guidance to leadership, including executive officers, on issues that may present legal, regulatory, compliance, or reputational risk to the Company
  • Educate, train, and supervise paralegals within the Legal Department

Required Qualifications:

  • 5+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar membership or the equivalent in a country outside the United States

Desired Qualifications:

  • Familiarity with bank regulatory governance requirements
  • Experience working on in the creation/acquisition, merger, maintenance and dissolution of U.S. legal entities and in the execution of certain U.S. transactions/reorganizations
  • Experience serving as Corporate Secretary or Assistant Secretary for designated U.S. subsidiaries
  • Experience acting as a legal advisor to U.S. management who serve as subsidiary board members on a broad range of subsidiary governance matters
  • Experience with subsidiary governance
  • Excellent verbal, written and interpersonal communication skills
  • Strong analytical skills with high attention to detail and accuracy
  • Strong organizational, multi-tasking, prioritizing and project management skills
