Job Summary

The Sr. Legal Counsel serves as the primary legal contact and provides comprehensive legal support to the organization, working closely with the business and executive team to ensure legal compliance, manage risk, and support business objectives. This role involves advising on a wide range of legal matters, including corporate governance, regulatory compliance, contracts, litigation, real estate, intellectual property, and employment law. The Sr. Legal Counsel will collaborate with various departments to provide strategic legal advice and ensure that the company’s operations align with legal requirements. Critical initial duties for this position include legal support for the organization to transition to new ownership, developing new legal processes and procedures, and building out the legal support function including the selection and engagement of other legal resources, such as a paralegal and external counsel.

Essential Duties/Responsibilities

  • Serves as the primary contact for all legal matters and provides strategic legal support to all divisions and departments within Airtron to include human resources, compliance, real estate, supply chain, health and safety.
  • Provides direct legal support to the Airtron executive and operational leadership by advising on legal matters, seeking to mitigate legal and operational risk.
  • Manages external counsel and all disputes concerning the organization.
  • Ensures the business operates in compliance with all applicable laws and regulations including trade license and service contract regulations, communicating effectively across the organization and with third parties, such as builders, suppliers and vendors.
  • Supports builder contract review across the group in drafting, reviewing, interpreting, revising, and negotiating HVAC contracts for single-family and multi-family residential new construction projects.
  • Provide advice to business leadership on risk mitigation strategies and coordinates with risk management/insurance team regarding appropriate insurance terms with respect to various agreements.
  • Develops the Airtron legal function and facilitates the transition of Airtron to new ownership.
  • Assist with trade license monitoring and compliance activities for all divisions.
  • Supports corporate governance and reporting and legal entity management.
  • Manage all manner of contested matters from customer claims to commercial litigation.
  • Provide support on a wide range of supply chain contracts and direct-to-consumer initiatives.
  • Works closely with Airtron’s business development team to support Airtron’s ambitious M&A growth agenda.
  • Develop and provide internal team training as needed to streamline legal processes and procedures.
  • Work with key stakeholders to identify workplace hazards and make recommendations to improve workplace health and safety and maintain OSHA compliance in a cooperative manner.
  • Execute customer requests and provide best possible solution to concerns for both individual residential HVAC customers and builders.
  • Manage external counsel and other legal resources within budget.
  • Other duties as assigned.

Working Conditions

  • Open office environment.
  • In-office work schedule
  • Occasional work outside normal business hours as needed
  • Travel as needed, approximately 25-30%

Minimum Requirements

  • JD degree from an accredited law school
  • Licensed to practice law nationwide
  • 10+ years of broad-based law experience in a corporation or law firm

Preferred Qualifications

  • Experience supporting a construction or home services business

Physical Requirements

  • Must be able to lift/move up to 20 pounds frequently
  • Must be able to wear required personal protective equipment (PPE) including but not limited to hard hat, safety glasses, ear plugs, masks/respirators, reflective safety vests, gloves and safety toe, construction-grade work boots
  • Must be able to adhere to long periods of standing, walking or sitting
  • Ability to hear, understand and distinguish speech and/or other sounds to operate phones or other equipment safely.
  • With natural or corrected vision, able to see and focus for close, distance, peripheral vision with normal depth perception
  • Ability to express or exchange ideas by means of the spoken word to impart oral information to others
  • Ability to enter text or data into a computer by means of a traditional keyboard or 10-key numeric keypad
