The Associate General Counsel I is responsible for providing legal advice and support to the Bank and its branches and business units on a wide array of legal, banking and business matters.

Key Responsibilities

  • Responds to phone and email requests from branches and business units for legal and banking counsel, including providing clarification of laws, regulations, guidelines, and policies.
  • Reviews, interprets, and advises on various legal instruments and documents such as agreements, proposals, marketing materials, corporate records, policies, leases and licenses.
  • Drafts, negotiates, and revises agreements and other documents and reports as assigned.
  • Provides advice and training regarding the implications of new laws that substantially impact the Bank’s business; anticipates legal issues and recommends practices to prevent problems from arising.
  • Responds to inquiries, complaints, and claims from regulatory agencies, customers, and employees.

Competencies Required

  • Excellent verbal communication and negotiation skills with an ability to effectively interact with, influence, and convey information to people who possess varying levels of understanding on applicable topics.
  • Excellent writing skills with the ability to draft complex and legally sound documents.
  • Proficiency in using online research tools and general business software, such as Westlaw and Microsoft Office applications.
  • Legal research skills with the ability to analyze laws and regulations.
  • Excellent interpersonal, listening and interviewing skills with the ability to confront and address sensitive topics while maintaining a high degree of professionalism, confidentiality, diplomacy, and tact.
  • Strong problem solving and investigatory skills; ability to objectively identify, assess, resolve, and mitigate risk.
  • Ability to work efficiently and independently while supporting a team environment.
  • Knowledge and understanding of banking and employment policies, procedures, laws and regulations as they relate to risk management.
  • Developed critical thinking skills, timely decision-making, research and analytical skills with strong attention to detail.
  • Excellent organizational and time management skills with the ability to manage multiple responsibilities and projects in a high-pressure environment with competing priorities, and to instill a sense of urgency in others as necessary to meet deadlines.
  • Strong overall business acumen with an ability to understand the direction, priorities, and goals of the organization.

Minimum Qualifications/Experience

  • 2-7 years of legal experience as a licensed attorney required.
  • Banking or financial services industry experience preferred.

Formal Education & Certification

  • Juris Doctorate (JD) degree required.
  • Possess an active Texas law license in good standing required.

Work Status

  • Full-Time.

Supervisory Responsibility

  • None.

Travel

  • Up to 10% travel expected.

Working Conditions

  • Conditions involve lifting no more than ten pounds, sitting most of the time, but may involve walking, moving, or standing for brief periods, and occasionally lifting and carrying articles like files, ledgers, folders, etc.
