As Senior Commercial & Healthcare Regulatory Counsel, you will be a cross-functional advisor to Alto teams across several legal work streams, with a focus on commercial and enterprise, health care regulatory, and commercial contracting matters. You will report to the Chief Legal Officer and collaborate closely with members of the Alto Legal team and other internal teams.

This position will play a critical role in Alto’s continued growth by assisting the commercial and business development teams in structuring and negotiating commercial deals while also ensuring continued compliance with regulatory requirements. The Senior Commercial & Healthcare Regulatory Counsel will also provide legal advice to the business teams on a variety of issues including PBM and payer contracting and related healthcare regulations and policy. The Senior Commercial & Healthcare Regulatory Counsel will support training for business stakeholders on healthcare laws relating to commercial arrangements and will be responsible for keeping the business teams and executives up to date on current laws and regulatory developments affecting Alto’s contracting activities.

  • Provide advice on contractual matters, including strategic analysis and associated legal risks regarding proposed partnerships, and joint ventures; particularly arrangements and transactions with health plans, health systems, partners, suppliers and providers, including related regulatory issues such as the Anti-Kickback Statute, and other state and federal health care regulatory requirements;
  • Take a key role in advising and guiding strategy on health care regulatory matters.
  • Support the Chief Legal Officer in general corporate and compliance matters;
  • Advise and help the Company to develop and maintain a compliant and effective strategy, policies and procedures and implementation relating to supplier arrangements, health care transactions, joint venture partnerships, managed care contracting and general regulatory matters;
  • Support strategic initiatives and potential pharmacy acquisition activities.
  • Manage outside legal counsel engaged by the company on matters requiring specialized knowledge or expertise.

Minimum Qualifications

A Bit About You

  • A Juris Doctor degree from an accredited law school;
  • Minimum of seven years of legal experience, preferably advising clients in the healthcare or pharmaceutical industry and/or healthcare tech;
  • Experience at both a law firm and and in a high growth technology focused company;
  • Deep knowledge of healthcare regulations and compliance, including Stark and Anti-Kickback, False Claims Act, HIPAA/HITECH and other data privacy laws and regulations; knowledge of CMS and HHS rules and regulations related to pharmacy and experience with state pharmacy regulations, state pharmacy boards, PBM and payer contract compliance and pharmacy accreditations;
  • Transactional drafting and review experience, particularly focused on agreements related to commercial contracts, strategic partnerships, joint ventures, supply agreements and licensing agreements.
  • An active license in good standing to practice law in any state;
    • New York, Texas, California, Washington, and/or Colorado preferred.

Preferred Qualifications

  • Broad experience with a variety of legal matters, including health care, corporate, and commercial contract negotiation;
  • Ability to be self-motivated and manage priorities effectively to deliver timely and quality work product and sound legal advice to business stakeholders; and
  • Experience with independently drafting and negotiating a variety of enterprise agreements in the healthcare space, including manufacturer, distributor, payor/PBM and other commercial agreements and well as experience drafting bespoke arrangements.
  • Experience in conducting due diligence activities.
  • Familiarity with utilizing regulatory intelligence tools and services.

  • Frequent repeating motions required to operate a computer or phone that may include the wrists, hands and/or fingers.
  • Environmental Conditions: occasional exposure to low temperatures or high temperatures, outdoor elements such as precipitation and wind, and noisy environments.
  • Physical Activities:
    • Occasionally ascending or descending stairs, ramps and the like.
    • Moving about to accomplish tasks and/or moving from one worksite to another.
    • Adjusting or moving objects up to 20 pounds in all directions.
    • Operating motor vehicles.
    • Occasional sedentary work that primarily involves sitting/standing/driving/flying

Salary And Benefits

Salary Range : $161,850 to 215,800

Travel : Yes - Required up to 10% of the time

Location Requirement: Employment at Alto is limited to individuals residing in the following states: California, Connecticut, Colorado, Florida, Nevada, Illinois, New York, Kansas, Texas, Maryland, Washington (WA), Missouri, New Jersey, North Carolina, Oregon, Pennsylvania, South Carolina, Tennessee, Wisconsin.
