BeiGene is seeking an experienced Legal Assistant to join and support the diverse needs of our fast-paced, dynamic in-house legal team, primarily in the areas of legal operations, corporate governance and securities law filings. The Legal Assistant will also assist with other legal responsibilities and initiatives at BeiGene, including general administration, contracts, litigation, and specific project-based support. It is preferable for this position to be located in BeiGene’s Cambridge, MA office location, but also open to hybrid or fully remote positions.

Legal Operations Support. Responsibilities Include :


  • Helping to process vendor invoices in BeiGene’s Ariba billing system;
  • Assisting with onboarding legal vendors in BeiGene’s Simple Legal system;
  • Working with Legal Operations on billing, budgeting, information governance and other matters.

Corporate Governance Support. Responsibilities Include:

 

  • Helping to update and maintain the corporate records of all BeiGene group companies, including coordinating with the team’s paralegals in other jurisdictions;
  • Assisting in forming new legal entities globally;
  • Assisting with updating BeiGene’s corporate electronic data room;
  • Assisting with ordinary share to ADS conversion procedures;
  • Supporting intercompany transactions and documentation, including maintaining summary spreadsheet;
  • Updating and maintain various corporate and team calendars;
  • Drafting POAs;
  • Prepare documents for and obtain signatures; and
  • Ensuring meticulous corporate recordkeeping.

Securities Law Support. Responsibilities Include:

 

  • Helping with reviewing and proofreading SEC disclosures, including Section 16 filings, periodic and current reports and proxy statements.

Equity Investments Support. Responsibilities Include:

 

  • Assisting with legal due diligence, including reviewing corporate formation documents; and
  • Preparing signature packets and assisting with closings.

Contracts Support. Responsibilities Include:

 

  • Drafting and reviewing simple agreements and documents, including confidentiality and non-disclosure agreements and letters of authorization; and
  • Assisting legal team members with drafting and negotiation of more complex contracts and documents upon request.

Litigation Support. Responsibilities May Include:

 

  • Handling subpoenas, legal holds, document reviews, trial preparation and litigation file organization; and
  • Supporting eDiscovery, including setup and management of databases.

Legal Operations Support. Responsibilities Include:

 

  • Helping to process vendor invoices in BeiGene’s Ariba billing system;

Other Project and Transactional Support . Responsibilities include supporting a variety of corporate transactions as they arise and other Legal and Compliance team projects and initiatives.

Supervisory Responsibilities: This position does not currently have managerial responsibility or budgetary discretion.

Computer Skills:


  • Proficiency in the Microsoft suite of tools including Outlook, Word, PowerPoint, Excel; as well as SharePoint.

Other Qualifications And Experience:


  • At least 3 years of professional legal assistant or equivalent experience, preferably at a publicly listed global company
  • Bachelor’s Degree preferred
  • Notary Public or willingness to become one
  • Experience maintaining corporate subsidiaries and records
  • Exceptional organizational and communication skills
  • Meticulous attention to detail
  • Ability to handle confidential and proprietary information using excellent discretion and judgment
  • Self-motivation and ability to work both independently and as a team player
  • Ability to be flexible and willing to accept new responsibilities in a fast-paced, multi-project environment
  • Travel: Up to 10%

Salary Range: $35.63 - $50.05 per hour

BeiGene is committed to fair and equitable compensation practices. Actual compensation packages are determined by several factors that are unique to each candidate, including but not limited to job-related skills, depth of experience, certifications, relevant education or training, and specific work location. Packages may vary by location due to differences in the cost of labor. The recruiter can share more about the specific salary range for a preferred location during the hiring process. Please note that the listed range reflects the base salary or hourly range only. Non-Commercial roles are eligible to participate in the annual bonus plan, and Commercial roles are eligible to participate in an incentive compensation plan.
