A DAY IN THE LIFE:

The Senior Corporate Counsel will report to the Sr. Corporate Counsel, Commercial and will be responsible for providing legal support of the Company’s global contracts and commercial affairs. The Senior Corporate Counsel will be responsible for drafting, negotiating, and interpreting a broad range of company agreements and will play a key role in the development, management, and continuous improvement of the Company’s contract administration procedures.

  • Provides legal and business advice, drafting and negotiation expertise for a broad range of commercial and operational agreements, including non-disclosure, software, SaaS, services, consulting, marketing, material transfer, supply, manufacturing, equipment, leases, distribution, collaboration, development, and clinical trials.
  • Works directly with and advises key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk.
  • Provides legal support for the Company’s expanding international operations, proactively identifies related business and legal risks, and collaborates cross-functionally to offer risk mitigation strategies and creative solutions.
  • Provides input in the development, and helps implement and administer, process improvements and systems for administration of key Legal department responsibilities.
  • Works closely with contract administrators to monitor contract covenants, expirations, and renewals on a monthly basis.
  • Continuously improves training and communications relating to relevant Legal department procedures.
  • Works cross functionally with other departments including members of regulatory, purchasing, R&D, finance, quality, IT, and other departments to ensure a smooth and agile contracts life cycle process and to ensure consistency with Legal response times and compliance with laws and regulations.
  • Identifies, recommends, and implements internal controls for appropriate approvals of new contractual commitments and supports providing requested documents to our financial advisors and internal audit teams.
  • Functions independently and delivers results with minimum supervision.
  • Manages outside counsel as needed.
  • Maintains the confidentiality of Legal Department communications and documentation.
  • Ensures contractual compliance with company policies, including privacy (HIPAA, CCPA, GDPR etc.) and other legal and regulatory requirements such as the EU/UK MDR and FDA regulations.
  • Other responsibilities as assigned.

YOU’RE AWESOME AT :

  • Law degree (JD or equivalent) with excellent academic credentials and a license to practice in the state of California or licensed in another state and registered as In-House Counsel in California.
  • 10+ years of relevant legal experience with complex commercial transactions, preferably including at least 2 years of in-house experience with a medical device, pharmaceutical, or biotech company.
  • Significant experience with and breadth of knowledge related to contract law.
  • Familiarity with the federal False Claims Act, Anti-Kickback Statute, and Food Drug and Cosmetic Act.
  • Working understanding of international, federal, and state rules and regulations applicable to medical device companies.
  • Strong verbal and written communication skills.
  • Ability to operate independently and prioritize effectively while handling substantial and diverse work volume and serving as a key contributor for a rapidly growing organization.
  • High level of integrity supported by sound judgment and ethics.
  • Ability to travel up to 20% both domestically and internationally.

COMPENSATION & BENEFITS:

_The starting base pay range for this position is $197,000 - $250,000 annually. Base pay will vary based on job-related knowledge, skills, experience and may also fluctuate depending on candidate’s location and the overall job market. In addition to base pay, Tandem offers a competitive compensation package that includes bonus, equity, and a robust benefits package.
