About the Role: 

The Corporate Paralegal is responsible for providing legal and administrative support to the Deputy Corporate Secretary. This role involves assisting with corporate governance matters, preparing and maintaining corporate records, ensuring compliance with regulatory requirements (including maintaining entity good standing), and maintaining the capitalization table. The Corporate Paralegal will facilitate equity grants and transfers, ensuring accuracy and compliance with company policies and applicable laws.

 

The Details:  This is a virtual, work-from-home opportunity. This role may require occasional travel for corporate events.

 

In this role, you will be responsible for:                

Corporate Governance:

  • Assisting with the preparation and maintenance of corporate records, including board minutes, resolutions, and annual reports
  • Ensuring compliance with corporate governance requirements and assisting in the development and implementation of corporate governance policies and procedures
  • Drafting and reviewing corporate documents and agreements, ensuring accuracy and compliance with applicable laws and regulations
  • Managing legal entity formation, maintenance (including filing periodic reports), and dissolution

 

Capitalization Table Management:

  • Maintaining and updating the company's capitalization table, ensuring accurate records of equity ownership
  • Facilitating equity grants, including stock options and restricted stock units, in accordance with company policies and legal requirements
  • Processing equity transfers and handling related documentation
  • Collaborating with internal teams and external stakeholders to ensure smooth execution of equity transactions

Administrative Support:

  • Providing administrative support to the Deputy General Counsel
  • Maintaining and organizing legal files, ensuring confidentiality and security of sensitive information
  • Assisting with special projects and performing other duties as assigned by the Deputy General Counsel

Knowledge: 

  • Bachelor's degree in Business Administration, Legal Studies, or a related field
  • Strong knowledge of corporate governance principles and practices
  • Proficiency in Microsoft Office Suite and legal research tools
  • Excellent organizational abilities with attention to detail and accuracy

 

Experience: 

  • 2-4 years of experience as a paralegal in a corporate or legal environment
  • Experience with equity management software and maintaining capitalization tables
