Associate General Counsel

Location : Midtown Manhattan Compensation : $200k-$300k base + bonus

Position Overview The Associate General Counsel will work closely with the Chief Legal Officer and other senior members of the Legal Department on all legal matters handled by the Legal Department, with a focus on supporting the Legal Department on Corporate & Securities, Corporate Governance, Contracts & Structured Finance Position Responsibilities

  • Assist with ’34 Act filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements for annual meeting of stockholders and similar filings
  • Handle Section 16 filings, including Form 4s
  • Assist with capital markets transactions, including SEC-registered offerings of equity and debt
  • Interface with the NYSE, transfer agent and other parties that are key to public company operations and compliance
  • Handle general corporate matters, including the full life cycle of entities (e.g. formation, drafting of operating agreements, maintenance and dissolution), resolutions, officers’ certificates, etc.
  • Assist in drafting and management of company policies, including those specifically applicable to NYSE-listed public companies
  • Assist with securitization transactions (e.g. manage 17g5 data site, review trust agreements, OMs/PPMs and related documents, and handle closing logistics)
  • Provide support for corporate transactions, including oversight of due diligence and drafting of PSAs, JV agreements and financing agreements
  • Draft and review contracts, including non-disclosure agreements (NDAs), vendor agreements and commercial agreements
  • Serve as Assistant Corporate Secretary, including drafting of minutes
  • Assist with purchase and sale of mortgage loans and mortgage related assets, including warehouse and repo transactions, related to the Company’s mortgage loan business
  • Ability to coordinate, manage and implement new processes, including across departments and outside the legal function
  • Keep abreast of developments in applicable areas of the law, including securities compliance, capital markets, NYSE regulations, structured finance, corporate governance, mortgage industry, etc.; advise management of impact of such developments

Additional Responsibilities

  • Familiarity with state mortgage licensing regulations is a plus, but not a requirement
  • Role may include support for employment law, litigation and non-core areas, but these responsibilities will be limited

Candidate Requirements

  • Minimum 5-7 years of relevant experience with at least 4 of those years at a top-tier law firm; prior public company experience either through a law firm or as in-house counsel is a must
  • In-office position
  • JD from an accredited law school; admitted to practice in NY
  • Intellectual curiosity with a desire to improve existing skills while learning new ones; ability to take direction and work collaboratively with colleagues, but with the ability to take initiative and work independently; good judgment, both on legal matters and beyond
