The Senior Corporate Paralegal Position 
 
Sunnova is seeking an experienced corporate paralegal to join the corporate/transactional section of its legal department.
 
Responsibilities
  • Draft, file, and manage various entity documents for corporate entities.
  • General records management related to Legal Department documents including corporate policies and procedures, board documents, corporate finance transaction documents, select employment-related documents, and corporate entity documents
  • Assist with legal policies, processes, and forms to maximize speed and efficiency of the legal department. 
  • Manage relationships with Sunnova’s corporate registered agent and various outside counsel globally, including support with reviewing and approving invoices for these firms.
  • Maintain accurate entity data Sunnova’s subsidiaries.
  • Assist with the creation and provision of global legal entity organization charts and periodic reports to various internal departments and businesses, as well as external parties.
  • Serve as the primary contact within the Legal Department for detailed corporate information, liaising directly with other departments (Finance, Tax, Treasury, and other resource groups), and external parties (auditors, counsel, government agencies).
  • Provide Legal support for Accounting, Treasury and Tax including matters related to bank account authorizations, KYC, subsidiary reorganizations, and guarantees. 
  • Support due diligence in connection with M&A, capital markets and treasury related transactions.
  • Perform administrative duties such as distributing documents for signature, maintaining a record of legal and policy documentation, legal vendor management and invoices.
  • Assist in the preparation and administration of the Legal Department's budgeting process.
  • Support our annual stockholder meeting process, including related to preparation of our proxy statement, management of the D&O questionnaire process, and coordination of proxy solicitor, transfer agent, proxy mailing activities, meeting logistics, and agendas.
  • Coordinates with external auditor to provide required support materials related to certain SEC filings.
  • Perform other duties as assigned by management.
 
Minimum Requirements
  • Strong knowledge of legal concepts applicable to job requirement.
  • 10+ years’ experience as a paralegal with corporate housekeeping / corporate governance / treasury / financial experience, either in a law firm or in-house.
  • Experience with companies having a significant number of subsidiaries is preferred.
  • Strong attention to detail, superior organizational skills, and a high level of independent problem-solving abilities are essential.
  • High level of interpersonal skills to handle sensitive and confidential situations. Position continually requires demonstrated poise, tact and diplomacy.
  • Sense of urgency and the ability to work with a wide range of personalities and personnel within a corporate setting, from peers to the C-Suite.
  • Some analytical ability is required in order to gather and summarize data for reports, find solutions to various issues, and prioritize work.
 
Additional Knowledge, Skills and Abilities
  • Strong collaboration skill, and written and verbal communication
  • Experience with Diligent Boards is a plus 
  • Ability to adjust to changing project priorities, work well under pressure and adhere to strict deadlines
 
Working Conditions
  • Open office environment when working in the Houston office
  • Extended periods of time working at computer workstation
  • Available outside of normal working hours as needed for business necessity
