The aim of Ferrovial Corporation is to design the Company's strategy, establishing global policies, guidelines and action guides related to the different functional areas of the Organization (Internal Audit, Finance, Human Resources, Legal, IT, Innovation, etc.), which subsequently are developed and adapted to the specificities of each Business Unit. Additionally, it performs a function of providing corporate services to the different companies of the group, while consolidating its information.

Job Description:

You will provide legal advice in respect of all matters handled by the General Counsel’s Office in connection with the US. As part of this, you will:

  • Manage corporate transactional affairs of the parent company, including dividends, issuance of shares, buyback programs, etc.
  • Ensure legal and regulatory compliance for the parent company’s board and its committees, and for the General Shareholders’ Meeting, and compliance with best practice.
  • Monitor insider trading rules, liaise with securities markets and authorities, and responsibility for advising and preparation of securities law filings and compliance.
  • handle corporate legal affairs of certain US subsidiaries.
  • Provide legal advice in respect of a broad range of matters, including financial matters, corporate transactions, and a variety of contracts.

In this position, you will work in close cooperation with your colleagues in Madrid and Amsterdam, in-house lawyers from business divisions –located in several countries over the world–, and external advisors.

Profile

  • You are a licensed lawyer admitted to practice in Texas, New York or admitted to practice in-house in Texas, with at least 6 years of relevant work experience in the corporate legal department of a US-listed multinational corporation or at a top-tier law firm with experience in advising US-listed multinational corporations.
  • You have solid and relevant experience with corporate law and capital markets.
  • You are able to effectively manage tasks and deadlines independently, problem-solving and promoting innovative processes within a fast-paced environment. You are also able to draft documents clearly and accurately.
  • You can bridge cultural differences and be challenged by working with international colleagues.
  • Strong verbal and written communication skills are a must. Should be comfortable of working with colleagues from different disciplines. Candidate should enjoy working with businesspeople, understanding the business drivers of the company and be able to provide advice that is sensitive to those needs. Able to exercise practical judgment and offer pragmatic solutions to problems and concerns.

Location

The position will be in our Ferrovial corporate office in Austin but could be considered some flexibility to work from a remote location.
