The Counsel, Transactions is responsible for negotiating, drafting, and reviewing various agreements, including master supply agreements, logistics agreements, master services agreement, sales, service and equipment rental agreements, various IT agreements (SaaS and Service Agreements) and nondisclosure agreements. The Counsel will have the opportunity to learn about the Danaher Business Systems and Danaher’s Core Values while having access to legal training resources for Continuing Education Classes to continue to advance the Attorney’s career and learning.

This position is part of the Legal Department and will be Remote. At Cepheid, our vision is to be the leading provider of seamlessly connected diagnostic solutions.

In this role, you will have the opportunity to:

  • Work closely and collaboratively with all levels of operations/procurement/logistics, sales, finance, and information technology teams to support a broad range of transactions;
  • Negotiate, draft, and review various agreements, including master supply agreements, logistics agreements, master services agreement, sales, service and equipment rental agreements, various IT agreements (SaaS and Service Agreements) and nondisclosure agreements;
  • Identify, interpret, explain, and advise on various legal issues and associated risks for client groups;
  • Escalate issues, as appropriate, to the Senior Legal Director, Strategic Business Transactions to identify issues and collaboratively share potential risks and proposals with leadership teams; and
  • Stay current on applicable laws, rules, regulations, regulatory guidance, and industry codes, especially concerning anti-bribery, competition, healthcare, and medical devices.

The essential requirements of the job include:

  • Attorney with 3+ years of relevant experience with commercial transactions in a law firm or in-house legal department.
  • JD degree from an accredited law school and active bar membership.
  • Bachelor’s degree with 8+ years of related work experience OR Master’s degree in field with 6+ years of related work experience OR Doctoral degree in field with 3+ years of work experience.

It would be a plus if you also possess previous experience in:

  • Commercial transactions in the medical diagnostics or healthcare industry preferred;
  • Drafting, reviewing, and negotiating various types of commercial agreements; and
  • Healthcare fraud and abuse laws, rules, regulations, regulatory guidance, and industry codes, including the federal Anti-Kickback Statute and False Claims Act.

The salary range for this role is $106,400-$150,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future.

This job is also eligible for bonus/incentive pay.
