Overview

We are currently looking to appoint an M&A Support and Integration Counsel to join the GGB-US M&A Integration team!

As the M&A Integration Counsel, you will own all aspects of M&A support for GGB-US including all legal matters relative to due diligence and post-closing integration across the US, with the goal of more comprehensive involvement by the GGB-US legal team in the due diligence process and accelerating the legal integration of the newly acquired company.

How You'll Make An Impact

  • Collaborate closely with the US Corporate M&A legal and project teams throughout the acquisition process to understand commercial drivers for acquisitions
  • Build relationships with key stakeholders in the M&A process
  • Review deal terms, due diligence questionnaires and other relevant documents throughout the due diligence process to ensure GGB-US is effectively managing M&A risk
  • Analyze target company business and legal matters with a focus on compliance, contracting, privacy and other legal functions to highlight legal risk and raise problematic items to appropriate resources
  • Prepare deal summaries for GGB-US legal management, highlighting items of concern in advance of potential closings
  • Understand and recognize important integration tasks, and effectively document and handle post-acquisition legal and operational integration matters, engaging with legal and cross-functional managers
  • Draft (and present, where appropriate) reports for boards and committees seeking approval for integration activities
  • Document and handle requests for corporate administrative updates, key vendor and partner contract reviews, intellectual property ownership and licensing filings, regulatory and compliance matters and similar functional area tasks
  • Work with the acquired business to transition contracts to Gallagher, updating contracts to Gallagher standards, including privacy terms
  • Contribute to the evolution of legal integration process and strategy, including: creating and maintaining legal integration dashboards, project plans, presentation materials and integration planning reports

Skills for success

  • Experience providing practical advice to enable accurate monitoring, management, and/or mitigation of risks.
  • Ability to balance multiple simultaneous transactions or projects

About You

  • JD from a leading law school, with proven academic success.
  • License to practice law and in good standing under the bar of any state that enables admission to practice as in-house counsel.
  • Minimum 4 years of relevant experience at a law firm and/or representing a global company in M&A matters.
  • Prior success leading M&A transactions from inception to closing, with experience leading due diligence teams.
  • Experience with the identification and assessment of M&A transaction risks, and an ability to provide practical, solutions-oriented advice to enable proper monitoring, management, or mitigation of risks.
