About the Role:

We are looking for a lawyer with 7+ years of practical legal contracting experience to join our collaborative legal team. The right candidate will be eager to learn our business, willing to manage a variety of projects and interact with senior business leaders. The work will encompass a fast-paced environment with a high [steady] volume of legal matters, including all facets of negotiating commercial contracts, including, but not limited to, customer/sales, vendor, services and licensing agreements.

Candidates will need to be proactive in their approach and well versed in collaborating and building relationships with various members of the business, including, but not limited to, members of the Company’s dynamic Sales team, [any other core business units like marketing, product, etc.?] as well as other groups in the organization such as the Privacy, Information Security, Compliance and Information Technology departments to facilitate the comprehensive and efficient review and execution of transactions.

We are always looking to improve our business-centric approach, processes and templates. Therefore, candidates should be willing to build and enhance our templates and forms, taking into consideration the Company’s business, legal and compliance objectives and changes in industry standards.

This is an individual contributor role that will report to the Associate General Counsel-Commercial Transactions.

Job Duties

  • Draft, review and negotiate customer sales agreements, vendor, services agreements and licensing agreements.
  • Managing cross functional teams for customer sales agreements, services agreements and licensing agreements including collaborating with the Company’s Privacy, Information Security, Compliance, and Information Technology departments to ensure comprehensive and efficient review and execution of transactions and to ensure Copart is adequately protected from a legal and business perspective.
  • Create template agreements for new services or product offerings and review, update and revise the Company’s standard contract templates to ensure up to date compliance with laws and regulations and business practices.
  • Act as a strategic advisor to the organization and in particular the Company’s Sales team to facilitate the collaborative execution of transactions.
  • Provide practical legal guidance for the business to adequately assess legal and business risks appropriately.

Experience And Skills

  • [7]+ years of experience drafting and negotiating commercial agreements.
  • J.D. from an accredited law school with bar admission in good standing.
  • Collaborative, business-friendly and a creative approach to problem solving and effective client management skills.
  • Able to provide easily understandable and practical legal and business advice to non-legal stakeholders.
  • Ability to leverage technology to support the contract drafting, negotiating and execution process.
