Senior Counsel – Commercial will provide primary legal support to the Company’s commercial sales organizations. This role is also responsible for providing advertising law guidance to the marketing and product development teams, general commercial guidance to the product team leaders, and day-to-day transaction guidance for the Company’s international joint venture. This role reports to the Deputy General Counsel, Commercial and Sourcing.

How You'll Create Possibilities

Manages large, complex project initiatives of strategic importance to the organization, involving leading large cross-functional teamsProvide counseling to the commercial organization and company leadership.Directly and through the commercial legal team, structure, draft, review, negotiate and provide guidance on a wide range of commercial agreements and documents relating to business transactions involving the company, including primary responsibility for sales contracts within the various sales channels and policies related to the sales organization. Provide guidance, directly and through the commercial legal team, to the product development and marketing organization on potential marketing claims and materials.Identify and analyze legal issues, create and implement creative solutions in order to allow the company to achieve business objectives within risk tolerances. Develop materials to train the commercial team and other clients within the company on topics such as consumer protection and advertising law.Support and drive safe and active use of Generative AI within the legal department and throughout the enterprise.Provide coaching support and guidance to junior members of the legal department.

What You'll Bring to Our Team

Qualifications

Juris Doctorate from an accredited law school with active bar membership, in good standing, in any US state with the ability to practice in house.10+ years: Experience practicing law in a law firm and, preferably a corporate legal departmentExtensive experience in commercial law, particularly in drafting and negotiating commercial contracts, international agreements, intra-company agreements, and finance agreements.Experience with consumer protection law, including advertising/marketing law.Commitment to the company's business affairs with the highest integrity, including strict adherence to applicable laws but also in a manner consistent with the company's valuesDemonstrated ability to be an effective and inclusive leader.Demonstrated orientation towards business growth and ability to work in a highly matrixed environment.Demonstrated ability to create successful collaborative partnerships with business leaders and legal team members.Practical and enthusiastic problem-solver who is confident, flexible, and calm under fire.An ability to quickly prioritize as well as execute while exhibiting a sense of urgency, superb judgment, and professional wisdom.Goal oriented and a high degree of personal initiative.Strong oral and written communication and advocacy skills.
