What You'll Do:

Criteo is looking for a corporate legal counsel with U.S. legal experience to join our global corporate legal team. The Corporate Counsel will work closely with Corporate Legal Team members in Paris, New York and Boston, under the direction of the Associate General Counsel.

This role represents a great career move for a lawyer seeking a challenging opportunity that combines technical legal knowledge with practical experience, working on complex corporate law matters in a demanding, international and fast-paced international environment. We are looking for a talented lawyer who can work independently, but also can take direction and collaborate within a collegial environment.

What will you be doing?

Support corporate legal team with the preparation and filing of SEC filings, including Forms 8-K, 10-K and 10-Q, S-8, proxy statements, proxy materials and Forms 3, 4, 5 and 144, using Workiva internal filing softwareManage Section 16 and Rule 144 compliance (including Forms 3, 4, 5 and 144) and assist with 10b5-1 trading plansReview all earnings-related materials (press releases, scripts and investor presentations), as well as other public announcements and disclosuresSupport corporate legal team in maintaining corporate compliance with SEC, stock exchange and other legal requirements applicable to a publicly-traded companyHelp coordinate the Annual Meeting of Stockholders, including coordinating activities of third party vendors to ensure timely distribution and filing of proxy materials to shareholdersAdvise on corporate governance matters, including preparing and managing materials for board of directors and committee meetingsAdvise on M&A processes and transactions, as they arise, including organizing and directing due diligence, reviewing purchase agreements, NDAs, LOIs, engagement letters, etc.Assist other team members with subsidiary management, including assisting with restructurings, liquidations, and preparing board and organizational documentsPerform corporate legal research for public companies, including benchmarking and peer reviews, and assist with any other corporate legal team projects

Who You Are:

Bachelor’s Degree plus a law degree (J.D.) from an ABA accredited law schoolCurrent Bar admission to practice law in the U.S.2-3+ years of experience from a top nationally-recognized law firm and/or an in-house corporate legal departmentStrong organizational and time management skillsExcellent communication, attention to detail and follow-up skills, with an ability to collaborate effectively with individuals and teams at all levels of the companyProactive self-starter with ability to work independently, spot issues and develop business-oriented resolutionsStrong legal research, analytical, and problem-solving skillsAbility to perform in a fast-paced environment and handle multiple assignments and prioritizeExcellent interpersonal skills, and a positive, team-oriented attitude

The US base salary pay range for this position per year is:

$123,000 - 160,000
