POSITION OVERVIEW The Senior Contracts Specialist helps accelerate Onit’s success by providing practical, creative, critical, thoughtful, and quick answers to key contractual questions. The Senior Contracts Specialist is a sophisticated negotiator who can draft, negotiate, and manage a wide variety of commercial agreements. The Senior Contract Specialist assists with the continuous development of the contract function and its processes. Onit’s Legal function is diligent and proactive and works cross-functionally with all areas of the company in a collaborative, collegial, fast-paced, global team environment.
RESPONSIBILITIES:
Write, review, draft, and negotiate complex and unique subscription and services agreements, service level agreements, professional services agreements, partner agreements, transactional documents, contract amendments, and addenda.
Identify terms that vary from corporate standards to ensure accuracy and compliance, recommend appropriate modifications, engage, and collaborate with internal stakeholders in sales, professional services, legal, product management, support, and other internal organizations.
Provide effective guidance of contract issues to all levels within the company.
Assist with the establishment of initiatives for contracts function, including contracting tools and processes, legal language library, reference materials, and playbooks.
Provide guidance on contracting practices and procedures to employees and managers.
Provide training to salespersons on how to distinguish commercial and legal terms and tips for negotiating the commercial terms.
Advise sales management of contractual rights and obligations and provide clarification of contract terms and conditions.
Act as a liaison between internal and external customers to efficiently drive the contract review and approval process to its conclusion.
Act as the liaison between the various company departments and the Legal Department on the preparation, review, and execution of vendor agreements.
Mentor junior contract specialists.
Develop processes and analytics to track instances of non-compliance and develop a plan to minimize future incidents.
Assist in review and response to RFPs and RFQs, offering appropriate alternatives to contract terms and conditions.
Provide support on customer KYC and onboarding questionnaires.
Update and maintain cases in Salesforce.
Collaborate with Finance on terms and revenue recognition.
Prepare and administer routine and/or specialized correspondence.
Assist in other duties that may arise from time to time.
QUALIFICATIONS AND EXPERIENCE:
Excellent written and verbal communication and negotiation skills.
Ability to interface with all levels, including customer’s counsel (in-house and outside).
Ability to handle and resolve conflicts in a professional and tactful manner.
Excellent analytical skills, critical thinking, and interpersonal skills with the ability to effectively work in a team environment and under general supervision.
Strong understanding of contract provisions and risks and the legal areas and laws that impact them.
Confidently negotiate contract terms on video calls with customers and their counsel.
Experience working closely with salespeople.
Ability to mentor within the department and train other departments on company contract policies.
Successfully accomplish work with a high degree of independence, balancing competing priorities with short lead times.
Effectively analyze significant, and/or unique contract requirements, special provisions, terms, and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and communicates results.
Proficiency in MS Office, especially Word and Excel, is required.
Experience with SalesForce.com is preferred.
Experience with DocuSign is preferred.
General understanding of revenue recognition is a plus.
7-10 years of experience in the creation, negotiation, preparation, administration, and monitoring of technology-related agreements.
4+ years of experience with SaaS and/or enterprise software agreements is required.
Intellectual curiosity about Onit customers, products/technology, and contract provisions.
Bachelor’s degree or equivalent is a plus.
PHYSICAL REQUIREMENTS:
General office environment and responsibilities requiring:
Extensive use of the computer which involves viewing a monitor and keyboarding for most of the workday;
Placing and receiving phone calls; and
May require some travel (domestic and international) if needed.
