1 in 4 people in the US have a treatable mental health condition, but the majority of providers don’t accept insurance, making therapy too expensive for most people. We are looking for an Associate General Counsel, Corporate and Securities to join our legal and compliance team. We are a small-but-mighty group of five and we are expanding as Headway grows. This role will report to the General Counsel and formalize our Corporate and Securities practice, as well as invest in other functions.

You Will

 

  • Lead our corporate and securities function
  • Lead debt and equity financing transactions
  • Lead M&A transactions
  • Maintain corporate books and records and take Board minutes
  • Oversee the administration of our stock plan and related equity programs
  • Maintain and update our Management Services Organization agreements and relationships
  • Ideally, you will also lead the formalization of a Procurement function and other workflows, handle light Intellectual Property work and light Employment work, modernize our Contract Lifecycle Management, and perform light Technology Transfer roles

You’d Be a Great Fit If

 

  • You have 8+ years total experience, including 4+ years in-house experience, preferably at a high-growth company. Healthcare-related experience is ideal due to our healthcare corporate structure
  • You are barred in a US state and able to practice through NY in-house counsel registration
  • You are a self-starter, organized, flexible, able to create new processes and procedures, able to evangelize processes and procedures across multiple departments, and able to lead small teams

Compensation And Benefits

  • Salary information is based on a single salary target per role and is differentiated based on geographic location (Group A, B, or C)
    • Group A = NYC, SF/Bay Area, LA Area, Seattle, Boston, Austin, and San Diego
    • Group B = Chicago, Miami, Denver, Washington DC, Philadelphia, Atlanta, Minneapolis, Nashville, Sacramento, Phoenix, and Portland
    • Group C = All remaining cities
    • Group A: $290,000
    • Group B: $261,000
    • Group C: $232,000
