SCOPE OF RESPONSIBILITIES:

Provide assistance to attorneys and senior paralegals in researching law, reviewing and forming businesses, preparing documents, researching and investigating facts, and servicing clients. Functions specific to the practice area may include contract review, corporate formation and maintenance, and assisting with all aspects of transaction deal management, from inception to post-closing,

ESSENTIAL JOB FUNCTIONS:

Formation and Maintenance of Corporate Entities

  • Draft/prepare organizational, incorporation, and formation documents including articles of incorporation/organization, operating agreements, bylaws, consents, qualification documents, organizational resolutions and stock certificates.
  • Conduct name availability search and reserve entity name, if required.
  • Prepare amendments and dissolution materials for corporate entities.
  • Create and maintain corporate minute book.
  • Prepare and file application for federal employer identification number.
  • Prepare and file election by a small business corporation.
  • Prepare registration documents to qualify companies as foreign business in other jurisdictions.
  • Prepare stock certificates, legend and backing sheets.
  • Draft shareholder and board consents.

Transaction Deal Management

  • Virtual Data room management.
  • Organize records and documents and track due diligence.
  • Assist with the drafting of certain deal agreements and closing certificates.
  • Manage/oversee the preparation of and coordinate the signing and assembly of closing sets, binders, and CDs (electronic format) and other post-closing deliverables; distribute to appropriate parties.

Additional Support

  • Review contracts and summarize as directed by attorneys.
  • Assist attorneys and senior paralegals with various tasks and assignments.

OTHER JOB FUNCTIONS:

  • Engage in interaction and build relationships with clients.
  • Exercise significant independent judgment and discretion in management of client team activities, following lead or preferences of the Client Relationship Manager or managing attorney.
  • Exercise independent judgment in the efficient and cost-effective use of practice support, databases and other technology.
  • Supervise work of and provide training/mentoring to Paralegal Assistant, if any.
  • Anticipate attorney needs.
  • Independently handle all key duties primarily without supervision of another Paralegal or Senior Paralegal.
  • Exhibit initiative to stay informed of developments in paralegal industry by, among other things, attending firm sponsored CLEs and other in-house training efforts.
  • Meet annual billable hour requirement of 1500 hours.

POSITION-SPECIFIC REQUIREMENTS:

  • 3-5 years related paralegal experience; experience in corporate or education practice preferred.
  • Associate’s degree required; Bachelor’s Degree and/or Paralegal Certificate from ABA approved program preferred.
  • Significant, substantive legal related experience may be considered in lieu of formal education
  • Must be highly detail oriented and organized, and have a positive and engaging demeanor.

Compensation And Benefits

Employees are entitled to compensation commensurate with skill and experience. The exact compensation will vary based on skills, experience, and other factors permitted by law. The expected compensation ranges for this position in Oakland, California is as follows:

  • Oakland/State of California: $60,000 - $133,000

The above salaries do not include a discretionary bonus; however, bonus opportunities are non-guaranteed, and are dependent upon individual and firm performance.
