Amare Global is looking for a Corporate Paralegal to join our Legal & Compliance team. Amare's Global Legal & Compliance team is committed to excellence, innovation, and providing exceptional legal services to support our clients' business objectives. As a Corporate Paralegal with Amare Global, you will play a crucial role in assisting our legal/compliance team in various corporate legal matters, ensuring compliance, and contributing to the overall success of our organization.
The successful candidate will report to our Sr. Corporate Paralegal and will work closely with our Chief Compliance Officer, General Counsel, and legal/compliance team to provide comprehensive support in corporate and legal matters, including entity formation, contract management, regulatory compliance, corporate governance, due diligence, and legal research. The Corporate Paralegal will be responsible for conducting research, drafting legal documents, maintaining legal records, assisting with transactions, and managing various legal projects. The ideal candidate is organized, proactive, possesses excellent communication skills and has a strong understanding of corporate law and legal procedures.
Please note that this position is hybrid, and this person will be required to work onsite in our Lehi, UT office two days per week
Key Job Responsibilities
Assists in the preparation, review, and revision of legal documents, including contracts, agreements, corporate resolutions, and policies. Support the corporate governance process, including working with international entities and updating entity documents and maintaining an entity docketAssist in the formation and dissolution of legal entitiesMaintain intellectual property portfolio both domestic and international. Collaborate with internal teams and outside counsel for intellectual property strategies and protectionsReview marketing materials, promotions and contests for legal complianceSupport related to litigation, mediation, arbitration, and responses to complaintsRenewing and maintaining company licensingManage and maintain legal files and databases, ensuring accuracy, confidentiality, and accessibility of informationAssist in the coordination of legal projects, including monitoring deadlines, tracking progress, and ensuring deliverables are completed on timeStay updated on changes in laws, regulations, and industry trends relevant to the company's operations and communicate relevant updates to the legal teamCollaborate with external legal counsel and vendors as necessary, ensuring effective communication of legal matters
Requirements
High school/GEDBachelor's degree, preferredParalegal certification a plusMinimum of 5 years' experience in a corporate environmentStrong knowledge of corporate law, legal procedures, and regulatory complianceExcellent drafting and proofreading skills with attention to detail and accuracyDemonstrated ability to handle multiple tasks and prioritize work effectively in a fast-paced environmentAbility to maintain confidentiality and exercise discretion when handling sensitive informationProficiency using virtual data rooms to upload and organize documentsProficiency in Microsoft Office SuiteExcellent written and verbal communication skillsSuperb attention to detail, as well as organizational and multitasking skillsTeam player with the ability to work collaboratively and build effective relationships with colleagues, clients, and external partners
