Realty Income is looking for a Junior In-House Corporate Paralegal to assist in the day-to-day legal tasks including legal research and management of deadlines and projects. The Junior Corporate Paralegal will collaborate with co-workers, outside counsel, contractors, government agencies, and clients on legal matters or assigned projects.
What You Will Be Working On:
Global Entity Management:
- Closely work with the Global Corporate Secretary Teams. Manage U.S. legal entities, ensuring they remain in good standing, including forming and qualifying entities, FinCen registrations, administration, designation, and structuring.
- Coordinate with the tax, acquisitions, and real estate operations and asset management teams in relation to forming and qualifying entities.
- Manage U.S. state annual report filings (including related billing) and work with tax and other teams to prepare and file in-house filings.
- Demonstrate flexibility and ability to problem solve authority matters that may arise throughout the company.
- Maintain and ensure accuracy and completeness of global entity management database, as well as coordinate architecture of the database, and perform related data entry and report generation.
- Primary point of contact for third party entity management service provider in the U.S. including to coordinate requests for good standing certificates, charter documents, etc. as needed.
- Collaborate with the tax team for the designation of entities for investments and reorganizations (e.g., preparation of reorganization documents, termination of special members, independent directors and agent representation services).
- Identify, gather and review information to comply with information requests, due diligence, or to investigate factual evidence of a transaction, event, proceeding or case.
- Regular interaction and overlap with the international Corporate Secretary team.
- Provide assistance to the debt financing teams for loan related matters and borrowing entities.
Corporate and Governance Related Matters:
- Assist as needed with the preparation of materials for, calendaring of, and organization of board and stockholder meetings (including international board meetings, as applicable).
- Assist as needed with various corporate initiatives including capital market, compliance and other activities.
- Conduct research on corporate governance and compliance issues.
- Assist as needed with REIT status compliance.
- Maintain corporate records pursuant to applicable document retention guidelines.
- Assist with the filing and maintenance of the company’s SEC / NYSE reports.
- Assist with global corporate initiatives and debt and capital market transactions as they arise.
- Assist with due diligence for mergers and acquisitions, including organizing and reviewing documents.
Legal Operations:
- Assist with various legal operations including operations for the local office, expense reports, billing, organizing physical and electronic files, and calendaring and scheduling.
What We Need From You:
- 1+ years of relevant legal experience.
- Undergraduate degree from an accredited U.S. university (associate or bachelor's degree or equivalent).
- Paralegal Certificate from an ABA-approved school
- Notary Public (may be obtained after employment)
- Combination of education, training, experience, skills and other characteristics that would provide the requisite knowledge and abilities in support of the essential job functions.

The hourly rate for this role is in the range of $33.80 - $47.87. You may be eligible for an annual discretionary bonus and an annual discretionary stock award, (dependent on date of hire) to be discussed during the initial phone interview. Base salary and total compensation package determined by the candidate's experience, knowledge, education, skills, performance, and abilities, as well as internal equity, company performance, and alignment with market data.
