Title: Senior Corporate Governance Paralegal & Assistant Secretary
Location: Atlanta, GA (onsite) OR Virtual, USA ***
Position Summary
The Senior Corporate Governance Paralegal & Assistant Secretary works with a dynamic and collegial team of attorneys and paralegals in a supportive environment focused on teamwork, performance and responsibility. The Corporate Paralegal provides support for matters relating to the Board of Directors, SEC and NYSE compliance and disclosure obligations, corporate governance and related matters to be assigned from time to time.
Key Areas of Responsibility
Assist with preparation of Board Committee agendas, meeting packages, other Board distributions.
Coordinate posting of materials through Board Vantage.
Prepare minutes for Board Committee meetings, coordinate execution, keep corporate minute books and maintain hard copy Board files.
Support SEC and NYSE filings and compliance.
Support preparation of Proxy Statement.
Prepare and distribute annual Director and Officer Questionnaires and related Proxy items.
Assist with annual stockholder meeting process.
Support document filing policies.
Assist team with outside counsel matter management administration.
Assist team with quarterly certification process.
Provide entity management support.
Assist in other special projects as assigned by department attorneys or senior paralegals.
Maintain corporate records with respect to public company filings and general record-keeping.
Support process for event-driven securities documentation, including Form 8-Ks, Forms 3, 4 & 5 and documents prepared in connection with Rule 144 sales, as well as annual and quarterly reports.
Basic Qualifications:
Bachelor’s Degree
5+ years of experience as a corporate paralegal; experience in both a major law firm and at least 3 years in-house at a public company strongly preferred
High proficiency in Word, PowerPoint and Excel
Is able to work independently and manage multiple ongoing projects in a fast-paced, dynamic environment
Has strong organizational skills and is detail-oriented
Has excellent written and oral communication skills, with ability to think outside the box and make complex challenges appear simple
Has the ability to instill confidence and interact with colleagues at all levels in a positive and professional matter aligned with NCR’s culture
Demonstrates strong judgment as to priority of matters
Must have the highest level of integrity and business ethics
