Position Overview
JOB DESCRIPTION
The candidate will work as a team member and independently to provide legal support primarily to the Company’s commercial organization (including origination, short-term marketing/trading, LNG shipping, and commercial operations), a large portion of which currently sits in the Company’s London office., In addition, the candidate will assist as needed in relation to general corporate matters, climate and sustainability initiatives, and development projects. The candidate will be expected to deliver timely and quality legal services to clients with minimal supervision; manage outside legal resources effectively; and develop strong relationships in a hard-working, fast-moving and ever-changing business environment. The candidate will be forward-thinking and front-facing to internal clients and commercial counterparties and will be involved in a significant amount of “deal flow”.
Responsibilities And Essential Duties
Support a variety of functions within the Company’s commercial organization.Draft, negotiate and interpret a wide variety of commercial agreements with internal clients and third parties, including LNG master sale and purchase agreements and confirmation notices, LNG vessel charters, and long-term LNG sale and purchase agreements.Handle corporate governance and compliance related to commercial matters, such as preparing resolutions and other materials for board of directors' meetings and preparing required regulatory filings.Support the Company’s Climate and Sustainability Team on existing and new initiatives.Manage other day-to-day legal and business projects as necessary.Support corporate initiatives and manage outside counsel as appropriate.
KNOWLEDGE
The candidate will have broad experience drafting, negotiating, and interpreting commercial contracts. In addition, the candidate will have a working understanding of LNG industry practices including as to short-term LNG master sale and purchase agreements and long-term LNG sale and purchase agreements. Knowledge of LNG vessel chartering work is a plus, although not required for this role.
Education And Experience
Education and Certifications: Bachelor’s and JD degrees with strong academic credentials. Qualified to practice law in Texas or another state in the USA.Experience: Three (3) years (5+ years preferred) working in a top law firm energy practice or in-house legal department of a major energy company, in either case with strong commercial/corporate transactional experience supporting the negotiation of complex transaction documents with domestic and international counterparties (and their legal advisors), including LNG-related commercial transactional experience.Skills: Strong interpersonal skills and the ability to effectively interact with all levels within the organization, including senior management.Ability to think critically, solve problems independently and exercise excellent judgment and common sense.Exceptional oral and written communication and legal research skills.Highly organized, detail-oriented, and able to manage multiple activities timely and with a high degree of accuracy.Strong business acumen, including significant knowledge of LNG industry practices, coupled with exceptional analytical skills.Ability to effectively work with and manage outside counsel. WORK CONDITIONS
Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others. Business requirements may frequently necessitate that work be performed from home, after normal work hours or on weekends. Business requirements will include international travel.Subject to drug and alcohol testing, per applicable federal regulations or as required by Cheniere.
