When you join us as a Vice President, Associate General Counsel, you will be joining a dedicated team of professionals who deliver quality, value, and access in the 21st century and align all stakeholders- patients, providers, payors, and regulators to achieve the best clinical outcomes.

 

You Will:

  • Works with executives on strategic initiatives that require standard and sometimes unique contracting
  • Provide legal counsel on a range of issues related to digital health products and services
  • Identify legal risks associated with digital health initiatives and develop strategies to mitigate those risks
  • Advise on intellectual property matters, including patents, trademarks, and licensing agreements related to digital health technologies
  • Tracks and monitors multiple projects and provides regular updates to department leadership
  • Draft, negotiate, and review contracts with technology vendors, healthcare providers, and other third parties, ensuring the protection of the company’s interests.
  • Ensure compliance with applicable healthcare laws and regulations, including HIPAA, FDA regulations, and telemedicine laws
  • Works closely with cross-functional teams, including product development, compliance, marketing, and IT, to provide integrated legal support
  • Assists in managing any litigation or disputes involving digital health products, working with external counsel as needed

To Ensure Success In This Role, You Must Have:

  • 5-7 years of experience in a mid to large law firm; Corporate experience preferred
  • Juris Doctor (JD) degree from an accredited law school
  • Admission to the state bar, preferably California
  • Significant experience negotiating and drafting commercial agreements, including but not limited to:
    • SaaS Agreements with Service Level / Support/Uptime Agreements
    • Distribution Agreements
    • Data Sharing Agreements
    • EULAs for use with distribution Agreements
    • IT Service Agreements (installations/customizations)
    • IP transfer/sale agreements (sale of software code)
    • Software in-licensing Agreements from 3rd parties
    • DPA Privacy Agreements and related GDPR data sharing/usage agreements
    • Data warehousing Agreements
