Resilience is looking for an experienced technology transactions/commercial contracting attorney to take a leading role managing the procurement responsibilities for our Legal department.

Our ideal candidate will be an experienced, pragmatic, and creative problem solver who excels at negotiating complex agreements, improving templates, playbooks, processes, and cross-functional workflows, and managing paralegals, junior attorneys, and contract specialists.

In addition to possessing all the technical skills of a great attorney, you must have a demonstrated ability to recognize and weigh business priorities and work cross-functionally to advance practical solutions. This is a unique opportunity to play a key role in a dynamic company doing work that matters.

Responsibilities

Draft, review, analyze, structure, and negotiate a wide variety of procurement agreements including purchase agreements (e.g., direct materials, equipment) and services agreements (e.g., consultancy, IT services agreements, SaaS agreements, design, and construction).Supervise contract specialists, paralegals and junior attorneys in their review of procurement agreements.Coordinate with Company stakeholders on technical, financial, operational, compliance and risk mitigation aspects of the agreementsHelp build and improve forms, processes, policies, and playbooksAdvise Procurement personnel with respect to compliance policies, vendor relations, contract matters.Develop and implement contract risk mitigation strategiesSupport corporate insurance renewals and manage insurance claimsProvide ongoing training to Company personnel on legal issuesWork well in a fast-paced, dynamic work environment

Qualifications & Experience

Demonstrated expertise in in technology transactions/commercial contractingExperience managing contract professionalsExcellent drafting and negotiation skillsExceptional organizational, project management and multitasking skills with a proven ability to operate independently with limited supervisionAbility to collaborate with a wide variety of people, at all levels in the companyStrong integrity and sound judgmentSense of humorIntellectual curiosity and a willingness to learnJD from an accredited US law schoolBar membership in good standing in at least one US state

Preferred Experience

Experience negotiating inbound equipment, technology, and services contracts at a rapidly growing biotech or tech companyExperience with risk management and corporate insurance programsCombination of large law firm and prior in-house experiencePrior experience with legal workflow technologies such as contract lifecycle managementGeneral knowledge of worldwide data privacy regulations and/or ITAR/DFAR regulations is a plus

Our target base pay hiring range for this position is $210,000.00 - $307,500.00 per year. Actual base pay is dependent upon a number of factors, including but not limited to, the candidate’s geographical location, relevant experience, qualifications, skills and knowledge.
