The Executive Office of Technology Services and Security (EOTSS) is the state’s lead office for information technology. EOTSS provides enterprise level information technology services including network management and security; computer operations; application hosting; desktop provisioning and management; and modern and responsive digital services to 40,000 internal stakeholders plus the residents, business owners and visitors to the Commonwealth of Massachusetts. The EOTSS Contract Management Office provides contract drafting, review and negotiation services on large-scale information technology projects across the Commonwealth. The team composed of attorneys (contract manager & special counsel) and a software contract manager actively negotiates and establishes discounted enterprise volume license agreements with several major software providers, resulting in millions of dollars of annual savings for the Commonwealth of Massachusetts. EOTSS is seeking to hire a Contract Manager & Special Counsel to join the Contract Management Office. The Contract Manager & Special Counsel will manage and oversee EOTSS’ enterprise-level contracts and provide counsel to EOTSS business units including the Digital, Technology, Purchasing, Finance, Risk Management, and Strategy teams. The incumbent will draft, negotiate, and interpret contracts and contract amendments.This role will work under the direct supervision of the Director of Contract Management & Special Counsel and work closely with other members of the Contract Management Office to support the oversight and management of all information technology contracts for EOTSS. The Contract Manager & Special Counsel will work closely with other Commonwealth entities and secretariats to answer questions regarding EOTSS enterprise-level contracts, IT offerings, IT negotiation strategy, and provide training as well as interact and negotiate with IT vendors and resellers on a regular basis. The primary work location for this role will be One Ashburton Place, Boston, Massachusetts 02108. The work schedule for this position is Monday through Friday, 9:00 AM to 5:00 PM EST. This position would be expected to follow a hybrid model of reporting to work that combines in-office workdays and work from home days as needed. Responsibilities include, but are not limited to, the following:Support the Director and Deputy Director in managing all information technology contracts for software, hardware, and cloud services for EOTSS and other state agencies and secretariats as directed by the Secretary of EOTSS.Ensure that all contracts comply with the Commonwealth Terms and Conditions and/or the Commonwealth Terms and Conditions for Information Technology Contracts.Act as a point of contact for EOTSS personnel and other Commonwealth entities regarding EOTSS’ enterprise-level contracts.Coordinate and work with other secretariats, agencies, the Office of the State Comptroller, and the Operational Services Division, including their Chief Information Officers, Chief Financial Officers, and legal and procurement teams as needed.Communicate regularly with outside entities and vendors, and with Contract Management team members on shared team tasks.Advise secretariat leadership on issues related to technology contracting, including intellectual property rights, data privacy and security.Conduct training sessions for the business units on contract management and compliance.Facilitate procurements and collaborate on procurement strategy.Draft and negotiate contract documents with enterprise-level vendors, such as IBM, Microsoft, AWS, Adobe, Salesforce, Oracle, etc.Identify issues that must be escalated and discussed with EOTSS leadership and executive staff.Meet regularly with EOTSS’ business units to formulate procurement strategies.Ensure software licensing compliance with state requirements.Provide contract management guidance throughout the procurement process and edit procurement documents, including solicitations. Preferred Knowledge, Skills, and Abilities:Three (3) years of experience as a licensed attorney in a contract management or procurement role.Experience with Massachusetts procurement laws and regulations.Hands-on experience with contract drafting for complex information technology systems.Demonstrated experience drafting concise and detailed information technology contracts.Strong drafting and negotiation skills in the information technology field.Knowledge of federal and state privacy laws, such as M.G.L. c. 93H, the Privacy Act, HIPAA, and the breach notification laws. Required Knowledge, Skills & Abilities:Proven capability to exercise superior judgment with the ability to manage highly sensitive and confidential information.Ability to understand, apply and explain pertinent laws, rules, regulations, policies, and procedures.Ability to manage and sustain multiple and complex relationships with vendors, customers, as well as internal and external stakeholders to ensure that lines of communication are always open.Ability to balance a large volume of work that may vary periodically; prioritize and adjust work assignments to meet changing situations, emergencies, demands, and changing requirements.Ability to work with diverse and multilateral stakeholder ecosystems such as EOTSS’ constituency which includes other agencies and Secretariats, agency heads, officials, and other interested parties.Ability to compose complete and accurate documents with high attention to detail.Demonstrated organizational and communication skills, with the ability to regularly update and inform stakeholders, outside entities, vendors, and executive staff of project milestones and progress.Ability to maintain a positive, proactive, and cooperative work ethic at all times.Demonstrated sound judgment with the ability to analyze different situations and take calculated risks. Education and Certifications:Juris Doctorate (J.D.) and an active Massachusetts bar license and membership in good standing.
