SUMMARYThe Corporate Counsel will be responsible for providing expert legal guidance on a wide range of matters, including franchise operations, real estate transactions, construction projects, and contract negotiations. This role requires a strategic thinker with a deep understanding of the legal complexities associated with these industries. The ideal candidate will be an effective communicator, a proactive problem-solver, and a trusted advisor to CFO. JOB DUTIES (include but are not limited to the following)Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory mattersMaintain a deep understanding of the company’s business and industry and provide expert legal advice to the company’s management and departments on a wide range of legal issuesEngage strategically in risk assessment and mitigation and developing innovative approaches to legal issues in support of business objectivesDraft, review, and negotiate contracts, agreements, and other legal documents to ensure they are legally sound and align with the company’s interests, and interpret and explain legal language and the implications of various legal documentsEnsure that all contracts and agreements comply with relevant laws and regulationsAdvise on potential liabilities, and work to protect the company’s legal interests in various transactions and operationsCoordinate with internal departments to ensure legal considerations are integrated into business decisionsMonitor and ensure the company’s compliance with all applicable laws and regulations, including industry-specific regulationsDevelop and implement policies and procedures to mitigate legal risks and ensure regulatory compliance, and update company policies to ensure they reflect current laws and best practicesAct as a liaison between the company and external legal firms, government agencies, and regulatory bodiesAdvise the HR team on federal, multi-state, and international employment lawPartner with the HR team on employment practices, employment handbook updates, and HR compliance trainingRepresent the company directly and/or manage outside counsels in litigation matters and other legal issues and/or special projectsAdvise and support corporate governance-related mattersCreate ad-hoc and routine reports and work with the parent company/affiliates in KoreaTrain employees on legal matters and company policies to promote a culture of compliance and ethical behaviorOther duties as assigned PREFERRED QUALIFICATIONSFranchise Law Experience: Expertise in drafting, reviewing, and negotiating franchise agreements and disclosure documents (e.g., Franchise Disclosure Documents or FDDs in the U.S.).Corporate or Commercial Law Background: Experience in areas such as mergers, acquisitions, and contract law, often relevant to franchising.Legal KnowledgeFranchise-Specific Regulations: Understanding of federal, state, or international franchise regulations (e.g., the FTC Franchise Rule in the U.S.).Knowledge of disclosure requirements, franchise registration, and compliance laws.Contract Law: Proficiency in creating, interpreting, and enforcing contracts.Dispute Resolution: Experience with litigation, arbitration, or mediation in franchise-related disputes. MINIMUM QUALIFICATIONS & SKILLSJuris Doctor (JD) degree from an accredited law schoolActive membership in the state bar4-10 years of legal experience, with substantial in-house experienceProven track record of managing complex legal issues and providing strategic legal adviceStrong negotiation skills and the ability to draft clear, concise contracts and agreementsEffectively manages a high volume of work through various methods of organization, project and task management, and prioritization as needs evolveAbility to think strategically, anticipate potential problems, and design creative, out-of-the-box solutionsExcellent communication and interpersonal skillsExperience working with a global organization and familiarity with working cross-culturally and with those of diverse backgrounds and perspectivesKorean bilingual skills preferred
