Position Summary

Counsel is primarily responsible for assisting the Associate General Counsel and the Executive VP & General Counsel & CAO in the performance of legal duties as legal counsel to the Company and its subsidiaries. In addition, Counsel provides legal counsel and guidance to Company management and division management in all areas of Company operations. The position is full time and located in the Tampa, FL business office.

Specific Responsibilities

Applies and utilizes all professional skills with little or no guidance or supervision from others, and serves as a legal resource for others.Works effectively and closely with each of (i) the Vice President for Operations (Atlantic), (ii) the Vice President and Associate General Counsel, and (iii) the Executive VP, General Counsel & CAO to provide legal counsel to the Company and its subsidiaries and achieve legal objectives that are aligned with the Company’s corporate strategy.Researches and provides legal counsel and advice to colleagues and senior management on the legal aspects of activities within their assigned area(s) (e.g., contractual negotiations, claims, litigation, protection and disposal of real and personal property, collections, maritime issues, and relations with municipal, federal, and state agencies).Develops strategies and pursues settlement of claims, change orders, and other disputes.Investigates claims and complaints by or against the Company, conducts interviews, prepares reports and/or opinions based on findings.Prepares and reviews proposed contracts, leases, formal agreements, insurance renewals, liens, statements, and other legal instruments to safeguard the Company’s interests.Works closely with project management teams in identifying, reacting to, and pursuing claims and/or change orders.Provides internal trainings on subjects ranging from claims management to contract negotiations to compliance.Develops strategies and pursues settlement or resolution of claims, change orders, and disputes.Assists in the defense of the Company against uninsured suits and claims and coordinates the prosecution of the Company’s claims against others.Reviews solicitation documents, distills the essence into a standard Company summary format, identifies risk and opportunity, and developed requests for information or bidder inquiries to address risk and opportunities when the Company is pursuing business opportunities for which counsel has functional legal responsibility.Provides legal counsel for all operational activities conducted by the Company and its subsidiaries, including, but not limited to, contract drafting, review and negotiation; real and business personal property issues; and drafting and reviewing real estate leases and vessel charters.Maintains up-to-date knowledge of the law and advises management in areas of special interest to the Company, including laws and regulations related to the federal government’s procurement of construction services, admiralty, Federal Maritime Commission, Interstate Commerce Commission, insurance, labor, Foreign Corrupt Practices Act (FCPA), international and contract law.Develops and interprets legal department, corporate governance, and legal compliance policies and procedures.Works with local, state, and federal authorities in various geographical areas in which the Company operates in order to ensure compliance with all laws and regulations, including environmental laws and compliance regulations such as the FCPA.Advises on legal aspects of Company operations, including existing operations in international jurisdictions as well as the potential entry into new international jurisdictions, including legal counsel related to contracts, compliance, insurance and property matters, human resources, workers compensation, and public relations.

Position Requirements

JD from accredited law school is required. Licensed to practice law in at least one state in the United States: preferably Florida, Alabama, Mississippi, North Carolina, South Carolina, Virginia, Texas, Louisiana, or Washington. Possesses at least 5 years of experience in contracts, international law, federal procurement, and executive and managerial interface. Well-developed communication skills (both verbal and written) are required.Experience in Construction Law as it relates to Heavy Civil and Heavy Civil Marine Industries

The individual must also be able to effectively interface with:

Internal Contacts – Vice President of Operations (Atlantic); Vice President and Associate General Counsel; Executive VP, General Counsel & CAO; and other officers, managers and supervisors of the Company.External Contacts – Outside legal counsel, federal, state, and local agencies, independent auditors, consultants, customers, vendors, etc.

The individual must be proficient in Microsoft Word, Excel, Access, Outlook, and PowerPoint. Good organizational skills and the ability to multitask, prioritize tasks, and adjust to sudden changes in work priorities as requirements dictate.

Discretion and trustworthiness, and the ability to keep all Company information and materials strictly confidential (both internally and externally) are essential elements of this position. Must be well organized, diligent, and be a self-starter with the ability to work with minimal supervision and to independently identify work to be done. Must be flexible and have the ability to adjust to sudden changes in work priorities. The individual must also have the ability to prioritize work generally and in order to accommodate those changes. Attention to detail and extreme care in performing tasks accurately and carefully are also essential. The Company expects and requires individual and each of its other employees to observe and fulfill the above and all other safety responsibilities and actively work toward maintaining a safe workplace. Failure to do so can result in disciplinary action, up to and including termination of employment.

At the discretion of the Vice President of Operations (Atlantic), the individual must be willing to be physically present in the office at least five days per week.

Physical/Mental Requirements

The individual must be able to perform the essential functions of the job with or without reasonable workplace accommodation. The individual must also be able to wear and properly utilize appropriate personal protective equipment if required to work or visit the jobsite. This may include hard hat, safety glasses, respirators, ear plugs, steel-toed shoes, personal flotation devices, or other equipment as required by the work performed and location the work is being done. The individual must possess the ability to remain calm during emergencies and respond appropriately as dictated by the circumstance of the incident and as directed by the Safety Representative or other management personnel. Must be capable of evacuating the work area in a timely manner should an emergency situation arise.

LIMITS OF AUTHORITY

Counsel must act within the express restrictions set forth in the current Company Delegation of Authorities (DOA) and seek pre-approval of items by more senior officers as required.
