The Opportunity

As General Counsel, you will occupy a pivotal position within Blackwing, managing critical legal responsibilities while playing a strategic role in shaping the fund’s trajectory. This is a part-time role with the potential to evolve into a full-time position as the fund scales.

This role offers unparalleled exposure to venture capital at its core: working directly with fund partners, navigating complex legal frameworks, and contributing to decisions that drive long-term success. It’s designed for a legal professional who is ready to take ownership of their work and be a key contributor to a transformative endeavor.

Responsibilities

• Partner with top-tier legal advisors to oversee fund structuring, governance, and compliance.
• Draft and negotiate key legal documents, including LP agreements, operating agreements, and investment contracts.
• Manage legal operations during fundraising, deal execution, and fund closings.
• Ensure regulatory compliance and reporting accuracy.
• Serve as a trusted advisor to the leadership team on legal and strategic matters.
• Proactively address ad hoc legal challenges as they arise.

What Makes You a Fit

Qualifications:

• Juris Doctor (JD) and bar admission in California.
• Professional experience in corporate law, venture capital, or startup environments preferred.

Compensation

This is an opportunity to grow alongside an early-stage fund, and initial compensation will reflect the early-stage nature of our fund. While we expect a direct path to a full-time role with upside as the fund matures, candidates should apply with the understanding that the role is designed for long-term growth opportunities.
