Job SummaryCorporate CounselUbiquity Global Services seeks a VP-Corporate Legal to lead our legal function and provide support on a wide range of corporate matters including client contract management and negotiation, banking and leasing contract negotiations, corporate compliance with banking regulations and privacy related laws applicable to our business, managing and overseeing international legal resources, and providing guidance as needed on employment related matters. The position reports to the CFO but interacts with our entire executive team as needed. Primary Responsibilities:Legal advice: Advising on a variety of legal matters, such as employment law, mergers and acquisitions, and regulatory complianceContract management: Drafting, reviewing, and negotiating contractsLegal research: Conducting in-depth legal research for various corporate mattersLegal compliance: Overseeing and advising on applicable regulatory complianceLegal documentation: Reviewing and curating legal documentation to protect the company's interestsLegal guidance: Serve as trusted advisor for internal business clients across a range of cross- functional teams. Advise on a broad range of strategic legal and business matters, providing business-practical solutionsDrive departmental initiatives, including the development or redesign of legal support processes and templates to increase efficiencies and better align to the needs of the businessAdvise on corporate governance matters, and board and corporate secretary responsibilitiesDraft resolutions, consents, governing documents, certificates, and minutesDraft and maintain governance-related policies and proceduresMaintain corporate calendar and oversee preparation of board and committee materials RequirementsJuris Doctorate (JD) from ABA accredited university, membership in good standing of State Bar8+ years legal experience with an emphasis in corporate lawExperience in contract negotiation and administrationExperience with employment lawExceptional organization and prioritization skills to effectively manage timelines and multiple projectsStrong transactional skills with attention to detailExcellent interpersonal and communication skillsAbility to exercise sound judgment, commercially focused legal advice and appropriately consider risks to the CompanyAbility to be highly collaborative and adaptive in a fast-paced, team-based, matrix environmentFluency in Spanish a plus
