Lead Counsel - Enterprise Technology & Sourcing TransactionsLocation: Atlanta, GA; Columbus, OH; Dallas, TX; Richmond, VA (REQUIRED)Hybrid Role Position DescriptionAs a part of the Enterprise Technology + Sourcing Transactions legal team, you will lead strategy, negotiation and drafting of complex enterprise technology transactions including XaaS, cloud services, software licenses, reseller agreements, managed service provider agreements, and software development agreements. While the role will be heavily focused on technology, the transactions will also include credit card services, transportation services, consulting services and other indirect procurement agreements. Your work may also include managing M&A related technology licensing integrations and complex decoupling of license arrangements. You will also develop strategy to resolve disputes in a manner that preserves business relationships and improves results. We are looking for a proactive and creative lawyer who can navigate difficult and uncertain legal and business issues to provide practical solutions that meaningfully manage risk, while also driving business value. You will work with multiple internal stakeholders, including executive-level business clients, and our Indirect Sourcing team. You will also manage heavy and constantly shifting workload and priorities through excellent communication and understanding of myriad perspectives. As the company moves quickly into developing technologies such as AI, your curiosity and willingness to learn are essential. You will also assist with training and mentoring members of the team, serving as both an escalation point for discrete issues, and as a leader of career development efforts. The Lead Counsel responsibilities will include the following:Identifying, analyzing, researching, negotiating, drafting, and resolving legal and business issues in proposed contracts, and making appropriate recommendations to business and internal stakeholders.Identifying and analyzing legal and business risk, considering the strategic importance of the contract, appropriately identifying required escalations, and executing timely escalations.Monitoring compliance with internal McKesson business and legal processes and policies.Preparing presentations and presenting to business leaders, as applicable.Accurately and timely enter matter information into team reporting portal and produce reports as requested.Preparing contract summaries and/or issues lists as requested.Demonstrating comprehensive understanding of McKesson’s operating model and growth strategy.Proactively working with colleagues to identify regulatory issues, assess business impact risk and effectively communicate same to business partners. QualificationsMinimum Requirements10+ years of legal experience in a corporate legal department or law firm, with a combination of both heavily preferred. Critical Skills8+ years’ experience reviewing and revising complex commercial contracts.Proficient in Office 365. Additional Knowledge & SkillsPrefer experience working in pharmaceutical, health information technology or other heavily regulated environment.Excellent contract drafting and verbal communication skills.Ability to work effectively with business leaders and promote the reputation and integrity of McKesson and the McKesson General Counsel Organization.Experience working in a healthcare regulatory environment preferred, including Federal Anti-Kickback Laws.Experience working with senior technology business leaders required.
