Summary

The Corporate Counsel reports to the Senior Corporate Counsel. Key responsibilities include contract preparation and negotiation, handling corporate transactions and housekeeping, working with and advising diversified business teams based in offices throughout North America and beyond, and assisting with compliance and other risk mitigation activities.

Essential Duties/Responsibilities

DUTIES & RESPONSIBILITIES

Prepare, review and/or negotiate customer and vendor contracts, confidentiality agreements, service agreements, consignment agreements, warehouse agreements, atypical agreements, etc.Counsel and advise business managers on legal and business risks related to contractual relationships and other matters.Develop and update contract templates.Counsel and advise a broad range of diversified business teams on complex business transactions.Assist with corporate housekeeping matters, including preparing minutes of board and shareholder meetings, resolutions, and advice on corporate governance related matters.Assist with the variegated legal work of the Office of the General Counsel. Assist Regulatory Compliance Officer with compliance issues, including U.S. customs, export, trade and other matters.

Education And Required Skills

A J.D. from an accredited law school.7-10 years of experience as an attorney, including at least 4 years of law firm experience.Ability to prioritize, multi-task, and work effectively as part of a team.Comfort handling projects and finding and implementing solutions independently.Excellent interpersonal and organizational skills.Results-oriented with a high level of integrity and honesty. Ability to exercise independent discretion and sound judgment.
