Contract Manager, Axalta Coating Systems

Axalta's Legal Department seeks a Contract Manager to provide legal support to the Procurement function in reviewing, providing legal feedback and supporting the negotiation of global Procurement contracts. The Contract Manager will work with Procurement personnel globally to ensure that Axalta is adequately protected from legal and other risks in their contractual agreements with suppliers. The Contract Manager will also interface frequently with members of Axalta’s Legal Department on a global basis to ensure that corporate contracting standards are implemented and adopted (with appropriate regional adaptations). Additionally, the Contract Manager will be responsible for assisting with the maintenance and upgrading of existing Procurement contract templates, as well as the potential development of new contract templates to meet business needs.
Key Job Responsibilities:
Review and provide feedback on contract drafts and participate in contract negotiations with suppliers in conjunction with Procurement team and business stakeholders, utilizing legal expertise while considering overall business goals. Participate in contract template development and management activities. Process contract requests through contract management software (Ariba). Assure accuracy and appropriateness of contract text and attachments and provide alternative suggestions when needed. Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, contract standards and risk, including external counsel (as required), other members of the Axalta Legal Department and other internal and external stakeholders. Conduct training on contract templates and other miscellaneous topics for Procurement professionals, as required. Actively engage with Procurement personnel and business stakeholders to ensure all contract needs are understood and addressed. Consistently work to simplify and improve contract processes to align with corporate goals and achieve better business outcomes.
Qualifications:
Bachelor’s Degree is required. Minimum of 5 years relevant experience. Strong experience with both direct and indirect Procurement contract drafting and review. Experience with drafting of different types of purchasing contracts, including, but not limited to, supply agreements, MSAs, SOWs, professional services agreements, NDAs, SaaS contracts, software licensing agreements and data processing agreements. Ability to meet deadlines on deliverables and communicate on an ongoing basis with Procurement personnel and business stakeholders about contractual and other issues.
Preferred Qualifications:
Juris Doctor (JD) or equivalent a plus but not required. Previous experience with Ariba contract management tool preferable, but not required. Privacy certification and/or previous experience providing guidance to stakeholders on privacy related issues, is a plus but not required.Experience multitasking, managing changing priorities, demonstrating flexibility and problem solving in work and achieving results.Understanding of contracts related to chemical supply (raw materials), packaging, logistics, CAPEX, IT, services, data processing and other typical procurement contract types.
