Corporate Governance & Compliance
Provide counsel on corporate governance matters, including drafting and implementing policies related to governance and compliance. Advise on new and emerging healthcare regulations, securities laws, and industry trends. Prepare Board and Committee materials and support Board meetings. Ensure compliance with relevant federal and state healthcare laws (e.g., HIPAA, Stark, Anti-Kickback Statute). Monitor, evaluate, and advise on regulatory changes impacting WECP’s operations and strategies.
Contracts & Transactions
Draft, review, and negotiate a variety of agreements, including client contracts, vendor agreements, commercial leases, and professional services contracts. Collaborate with cross-functional teams (Growth, Clinical, IT, etc.) to develop, maintain, and refine contract templates, playbooks, and negotiation processes. Ensure contract terms align with business objectives while managing risk effectively. Support contract lifecycle management and maintain processes for internal and external stakeholders.
Legal & Policy Advisory
Advise leadership on policy matters and compliance strategies related to healthcare operations and risk management. Provide guidance on privacy regulations (e.g., HIPAA, state privacy laws) and security policies, coordinating with relevant teams to enhance privacy practices. Lead efforts in healthcare policy advocacy, collaborating with external advisors to align with WECP’s mission and strategies. Handle legal inquiries related to Stark, reimbursement rules, and healthcare provider licensure.
Litigation & Dispute Management
Manage external counsel on litigation matters, including commercial disputes, employment issues, and regulatory investigations. Oversee internal discovery processes, managing witness interviews, litigation holds, and internal communications. Advise on and direct responses to employment disputes and workforce-related investigations.
Stakeholder Engagement & Communication
Support Board of Directors and management in shareholder and stakeholder engagement. Communicate complex legal concepts clearly and effectively to non-legal professionals. Build strong relationships across the organization, fostering trust and effective collaboration.

Qualifications Education: JD from an ABA-accredited law school; active bar admission in Washington State. Experience: Minimum of 7-10 years in corporate legal roles, with a strong preference for healthcare law expertise. In-house experience in healthcare organizations is strongly preferred. Experience in contract negotiation, corporate governance, and healthcare regulatory compliance. Skills: Strong knowledge of healthcare regulations, privacy laws, and compliance (e.g., HIPAA, Stark, CPOM). Excellent analytical, consulting, and negotiation skills with a focus on healthcare law. Ability to work independently and handle high volumes of work with changing priorities.
