Position: Associate Legal Counsel, EPC and Procurement

Location: Nashville, TN

Overview: We are looking for an experienced construction and procurement attorney to manage and lead aspects of the legal function of both the company and our solar energy projects. The candidate must be very proactive, demonstrate strong communication and legal writing skills, and be willing to assist the Senior Legal Counsel, EPC and Procurement and General Counsel in meeting the complex legal needs of the company and its various divisions. The candidate must also have strong judgment and time-management skills and be willing to work independently.

Main Responsibilities: As Associate Legal Counsel, EPC and Procurement, the candidate will work on project construction and equipment contracting matters affecting the Company, including (i) drafting, negotiating and administering engineering, procurement and construction (EPC) agreements, supply agreements and subcontracts for PV solar and energy storage projects developed and/or built by the Company; (ii) advising the EPC and operations business unit on relevant legal, regulatory and commercial risks; (iii) working closely with internal stakeholders to develop and implement improvements to contracting processes and tools, including a suite of regularly updated template documents; (iv) advising on construction-related disputes; (v) assisting the finance team with respect to project finance matters as they relate to project construction and management matters; (vi) managing construction and equipment-related due diligence efforts undertaken by the Company; (vii) managing and supervising outside counsel as necessary for contracting matters; and (viii) assisting where needed in support of the growth of the Company and its asset portfolio. The candidate should also have the ability and willingness to provide general legal services outside of EPC and equipment procurement matters as required. In fulling these responsibilities, the candidate must be able to:

  • Communicate effectively and responsibly with vendors and partners.
  • Prioritize work in order to meet project goals including deadlines, cost targets and project schedules.
  • Being responsible for reviewing and maintaining project records.
  • Work as a team player with effective written and oral communication skills.
  • Represent the organization professionally with vendors, utilities, local officials, financing partners and other project stakeholders.

Reporting: The candidate shall report to the Senior Legal Counsel, EPC and Procurement.

Qualifications: 

Education:  J.D. degree from an ABA-accredited US law school; active bar admission in good standing in at least one state with ability to obtain bar admission in Tennessee.

Experience:

  • Minimum of 4 years of significant, relevant experience as a transactional lawyer at a top-tier law firm or sophisticated corporate legal department negotiating and administering construction and equipment procurement contracts
  • Strong academic background from reputable law school
  • A team player with the ability to proactively identify problems, drive projects, make complex cost/benefit assessments, and identify pragmatic/creative legal and business solutions
  • Strong interpersonal skills, with the ability to quickly earn the confidence of your colleagues and effectively communicate with people at all levels of the organization
  • Accurate and strong attention to detail and high level of organization
  • Ability to manage multiple projects and people and to work well and professionally with others
  • Embraces and enjoys a fast-paced corporate environment with the opportunity to broaden areas of expertise over time
