IDEXX is looking for an Associate General Counsel (Commercial) to join our Legal & Compliance Team and support our dynamic and fast-growing software business, as well as other complex commercial transactions. This role will report to the Director, Legal Commercial & Managing Attorney for the Americas, and will be part of the Legal & Compliance Team’s global COLA (Commercial, Operations, Litigation and Antitrust) group.

What You Will Be Doing

In this role you will structure, draft, and negotiate commercial contracts including customer-facing software, service agreements and global SaaS terms, as well as licensing, development and service agreements with vendors and partners. You will be the lead attorney for the IDEXX VetSoft business that features multiple cloud software offerings for veterinary practice management, and you will also be part of our team supporting our corporate customer groups generally.

You will act as trusted advisor/general counsel to stakeholders within your portfolio, providing strategic, business-minded legal solutions; engage in regular conversation with key business stakeholders; and participate in business organization leadership meetings. You will identify areas where specialized expertise is needed and collaborate with in-house colleagues and/or retain and

oversee outside counsel to ensure appropriate legal support is provided. In collaboration with our Legal Operations team, you will identify opportunities for, design, implement, and manage contract processes and related infrastructure enabling efficient commercial contracting at scale.

What You Need To Succeed

Education/Bar Membership

J.D. or equivalent, with top academic credentials Bar membership in good standing in at least one U.S. jurisdiction

Experience

Substantial experience (ideally 8-10+ years) in private practice or in-house (both preferred), ideally in a multinational context, in substantive areas of software licensing and commercial contracts; prior in-house experience with a cloud-based software company strongly preferred; experience working directly with internal business/sales teams and engaging with customers Experience in a highly-matrixed, multinational, public company environment is highly valued

Required Skills And Abilities

Demonstrated excellent core legal skills, including commercial contract structuring, drafting and negotiation Deep experience supporting SaaS, including creation and evolution of standard terms and best practices Understanding of privacy matters in a commercial context, particularly as it applies to Saas offerings Ability to grapple successfully with complexity and to translate complex legal issues into practical guidance for business stakeholders and legal colleagues Demonstrated ability both to collaborate effectively in a team environment, and to build strong collaborative connections and relationships with clients and colleagues across a global organization Ability to build credibility quickly with stakeholders, and to provide practical legal expertise in challenging and complex business situations Able to confidently apply legal and business judgment in novel, fast-moving situations of significant value and impact Exceptional business judgment and creativity with a track record of collaborating and thriving in a fast-paced, team environment Ability to simultaneously take action that tackles immediate problems while building programs and processes that problem-solve at a programmatic level Ability to work without close oversight, and confidence to know that asking good questions is a strength Excellent organizational skills, including project management Superior analytical, written and verbal communication skills in both one-to-one and group contexts, in contexts ranging from negotiations to operational settings to senior executive briefings Comfort in use of legal operations tools including contract lifecycle management, workflow, e- billing/matter management platforms, and emerging AI tools Experience with Microsoft Office applications, including PowerPoint, Excel, and Teams
