When you join us as a Vice President, Associate General Counsel, you will be joining a dedicated team of professionals who deliver quality, value, and access in the 21st century and align all stakeholders- patients, providers, payors, and regulators to achieve the best clinical outcomes.

You Will

Works with executives on strategic initiatives that require standard and sometimes unique contractingProvide legal counsel on a range of issues related to digital health products and servicesIdentify legal risks associated with digital health initiatives and develop strategies to mitigate those risksAdvise on intellectual property matters, including patents, trademarks, and licensing agreements related to digital health technologiesTracks and monitors multiple projects and provides regular updates to department leadershipDraft, negotiate, and review contracts with technology vendors, healthcare providers, and other third parties, ensuring the protection of the company’s interests.Ensure compliance with applicable healthcare laws and regulations, including HIPAA, FDA regulations, and telemedicine lawsWorks closely with cross-functional teams, including product development, compliance, marketing, and IT, to provide integrated legal supportAssists in managing any litigation or disputes involving digital health products, working with external counsel as needed

To Ensure Success In This Role, You Must Have

5-7 years of experience in a mid to large law firm; Corporate experience preferredJuris Doctor (JD) degree from an accredited law schoolAdmission to the state bar, preferably CaliforniaSignificant experience negotiating and drafting commercial agreements, including but not limited to:SaaS Agreements with Service Level / Support/Uptime AgreementsDistribution AgreementsData Sharing AgreementsEULAs for use with distribution AgreementsIT Service Agreements (installations/customizations)IP transfer/sale agreements (sale of software code)Software in-licensing Agreements from 3rd partiesDPA Privacy Agreements and related GDPR data sharing/usage agreementsData warehousing Agreements
