Compensation:  $31.25 to $41.00 per hour

*This range reflects Carestream’s good faith estimate to pay fairly as starting wage. Offers will be tailored within the range based on the selected candidate’s experience, industry knowledge, technical and communication skills, and other factors that may prove relevant during the interview process, as well as geographic market differentials for the position.

 

Position Summary:

The Corporate Paralegal is responsible for supporting relevant aspects of corporate transactions, corporate secretary matters and litigation.  Primary responsibility for maintenance of legal entity records and related activities.  Also serves as litigation paralegal supporting all U.S. civil and employment litigation.  Provides back-up support, as needed, to other Legal Operations support staff.

 

Position Responsibilities:

Corporate Secretary support:

  • Work closely with members of the Legal, Treasury and Tax departments, support relevant aspects of corporate transactions, such as merger/dissolution, debt/equity financing, worldwide subsidiary management, and tax and treasury operations.
  • Work with attorneys, both internal and outside counsel, to draft corporate documents such as board and shareholder resolutions, M&A documents and the like.  Coordinate executive and director signatures on a variety of corporate documents.   
  • Draft resolutions, prepare and file state qualifications, prepare and track powers of attorney, obtain notarizations, apostilles, legalized documents, certified copies, and corporate filings.
  • Maintain the subsidiary management database and subsidiary minute books, the corporate structure chart, global subsidiary lists, list of Officers/Directors, Letters of Authorization and Grants of Authority.  Maintain global subsidiary information posted on Legal intranet pages.
  • Work with the company’s registered agent to maintain the database of state registrations/qualifications.  File annual reports with each state’s Secretary of State and maintain related records.
  • Assist attorneys with shareholder equity activity. 
  • Support the scheduling of and preparation for the Board of Directors meetings.  Assist in preparation and review of materials for submission to the Board.
  • Respond to requests for information and research matters, as requested by company attorneys.
     

Litigation support:

  • Serve as litigation paralegal supporting all U.S. civil and employment litigation.
  • Coordinate discovery requests.
  • Manage compliance with third party subpoenas.
  • Review and route for action all service of process.
  • Coordinate with company Risk Management regarding workers compensation matters.
  • Research and analyze law sources such as statutes and regulations.

 

Required Skills & Education:

Education, Training and Certifications:

  • 5+ years of paralegal experience in global corporation or law firm managing corporate legal matters.   Paralegal certification or equivalent education/experience preferred.

 

Skills:

  • Demonstrated proficiency in research that results in written communication that can be presented to counsel and executives.  Experienced in presenting summaries of complex matters.
  • Excellent verbal and written communication skills.  Well organized and detail oriented.  Self-starter who can work comfortably in a fast-paced organization with minimal supervision.
  • Positive, collaborative attitude.  Ability to work professionally up, down and across the organization, working with senior managers and support staff, in various departments.
  • Demonstrate high standards of integrity, honesty, confidentiality and ethics.
  • Strong software application skills.  Ability to learn web-based software applications.  Proficient in Word, Excel, PowerPoint.  

 

Preferred Additional Skills:

  • Corporate in-house experience preferred
  • Paralegal certification or equivalent education/experience 
  • Licensed notary in New York State preferred.
