Senior Counsel, Commercial Transactions and Data Privacy
We are looking for a results-orientated attorney with a demonstrated track record of handling commercial transactions, real estate, and data privacy to join our legal team. You must have the ability to operate in a fast-paced, growth environment and be comfortable working proactively and collaboratively across functional teams and with key business partners.
In this role, you will interact with company directors, senior leaders, and third party vendors. You will be a key partner and advisor regarding the company’s commercial transactions, real estate, and data privacy. Responsibilities and contributions will span across three primary areas of the company’s operations and this position will report to the Director, Legal Affairs.
Commercial Transactions
Coordinate with business partners in functional areas such as Procurement, Supply Chain, Real Estate, Roasting Plant Operations, and Information Technology on the negotiation and drafting of key commercial transactions, e.g., purchase agreements, real estate agreements, vendor agreements, MSAs and SOWs, outsourcing arrangements, SNDAs, estoppels, and co-manufacturing partnerships and distribution agreementsAdvise on real estate operations, purchases, leasing, subleasing, dispositions, closures and related activities in the normal course of real property management arising from Peet’s retail and manufacturing operationsProvide counsel to business partners on commercial & real estate transactions, disputes, and issues, and collaboratively develop strategies and resolutions through risk assessment, mitigation tactics and creative and practical solutions that balance legal requirements with business objectivesLead the advancement of the company’s contract management systems and processes in pace with the company’s growth and commitments, including maintaining an online virtual library of standardized templates for company useManage commercial transaction and real estate related litigation as needed
Data Privacy
Advise on best practices and compliance with US and applicable international privacy and data protection laws, including legal and regulatory aspects of data collection and use, privacy disclosures and transparency, and related issuesWork closely with the company Chief Technology Officer and Director of Information Security in formulating the company's data privacy strategies, compliance, policies, and proceduresMonitor changing US and global privacy laws and regulations to identify changing data privacy requirements and risks, and to provide strategic counsel to business partnersDevelop and provide privacy training to key business partnersNegotiate and review contracts related to data privacy and data protection clausesManage privacy related litigation as needed.Familiarity with regulatory requirements from CCPA and GDPR as well as privacy requirements associated with Payment Card Industry (PCI).
Legal Department
Contribute to the continuous improvement of the legal functions in pace with the company’s diversification and growthWork collaboratively with members of the legal team on special projects and stretch assignments in new subject areasPrepare and deliver legal learning materials and presentations to internal business partners in furtherance of business and legal efficienciesManage the successful and efficient delivery of services by outside counselCarry out the practice law as a proactive and engaged legal team member and partner to functional area partners by providing clear, concise legal advice, balancing legal risk and business needs, and working effectively cross-functionally to drive resolutions and closure
Requirements And Qualifications
Juris Doctorate degreeAdmitted to practice law in one (or more) states and active bar membershipExperienced practice in California commercial real estate lawExperienced practice with US data protection laws and international privacy regulationsA minimum of 5-6+ years of related experience; in house experience highly preferredA plus if you have experience in food/beverage retailA plus if you are admitted to practice in California
